1_ Tl�e parties liereto agree that at tlze Graiitor's option and upoii reasonable requast, a�
Grantee will promptly repair any and all damage to the Access Road to tlie extcnt
caused by Grantee by restoring tl-ie sur£ace to its original condition prior to Grantee's
use; or 2� Grantee will reimburse Grantor for any and all damage to the Access Road
to the extent caused by Grantee by compensating Grantor for all actual, documented
expenses incurred by Grantor performing necessary repairs_
2. Grantee understands tliat Grantor lias not 9nspected tt-ie Access Road's condition and
surrounding properties. Grantee's riglzt to anter tl�e properLy and utilize the access road is on
an •'AS IS" basis_
3. Grantee must use the access road solely for the purposes specified_ Grantee will not hunt or
fsl� on any of Cirantor's propei-ty. Grantee also will not bring any firearms or fisliing
equipment onto ttie access road_
4. Grantee must iudemuify, defeud aud hold l�armless Grautor, Grautor's heirs,
successors, assigns, trausferees, employees, agents, lcss�es, coutractors,
subcontractors, as well as trustees, beneficiaries, relatives, partners, officers,
directors aud related or affliated eutities from any and all liens, claims, demauds,
costs (including but uot limited to attorueys• £ees, accouutaut•s fees, engineer•s fees,
consultant's fees and expert•s feesj, expenses, damages, losses aud causes of actiou
for damages because of injury to persons (iucludiug deatla) and injury or damage to
or loss of auy property or improvemeuts to tlie extent caused by Grautee•s acts or
omissious iu exercise of ttie riglits grauted herein_

That, CITY OF BEAUMONT, a municipal corporation domiciled in Jefferson County,

("Property"), which said easement is under, over, in and across the Property owned by Grantor
situated in the County of Jefferson, State of Texas, and being more particularly described in the
legal description and plat in Exhibit "A" attached and made a part hereof for all purposes
("Easement Area").
Grantee shall provide to Grantor prior to the commencement of initial construction and
any future construction which includes the installation of new structures in the Easement Area,
preliminary drawings, images and/or plats depicting the location and design of the Grantee
Facilities.
Grantee agrees to allow Grantor and its representatives to observe construction on an
informal basis as construction progresses with the electrical installation of Grantee Facilities.
Grantee shall have the right to install and maintain gates in all existing and future fences
crossing the Property where same intersects the easement to provide access to and from the Grantee
Facilities, provided such gates will be installed in a manner that will not unreasonably weaken
such fences.
Grantee shall have the full and continuing right, but not the obligation, to clear and keep
clear vegetation within or growing into the Easement Area and the further right to remove or
modify from time-to-time trees, limbs, and/or vegetation outside the Easement Area which is dead,
decaying or in danger of falling or leaning on Grantee Facilities, by use of a variety of inethods
used in the vegetation management industry.
It is expressly understood and agreed that the Grantor shall only be responsible for
mowing the site and Grantee shall have the right of ingress to and egress from the Easement
Area hereinbefore described and use of the same for the purposes aforesaid, and giving Grantee

the right and privilege to improve, maintain and operate the same as permitted by law, provided
that no right granted herein shall permit Grantee from blocking access to any other real property
owned by Grantor contiguous to the Easement Properly.
Grantor shall not place any permanent structures within the Easement Area without the
prior review and written consent of Grantee,provided that the foregoing does not prevent
Grantor from installing water and sewer utilities in the Easement Area or installing pavement
over the surface of the Easement Property ("Future Infrastructure") so long as 1) Grantor
provides reasonable notice and coordinates any applicable construction, installation and/or
maintenance of Future Infrastructure with Grantee, including the submission of plans and
drawings, 2) the Future Infrastructure does not unreasonably interfere with the rights granted to
Grantee herein; and 3) the Future Infrastructure does not violate any applicable distance or
clearance requirements in accordance with the National Electric Safety Code, the Texas Health
and Safety Code, and any other applicable Texas law.
The parties hereto agree that Grantee shall have the right to store upon the Easement
Property any of Grantee's equipment or supplies which it may utilize in the construction,
modification, repair or maintenance of the Grantee's Facilities, and during any storm event or
emergency, so long as Grantee removes such equipment or supplies within fourteen (14) days of
completion of such work.
