Beaumont, Jefferson Coi�iity, Texas, herein called "Licensor" and Minesh and Nirali Patel
hereinaRer called "Licensee", contracted and agreed as set£ortlz herein.
Licexzsae desires a license fi-onz Licexisor to use tl�at real property �tl-ie subject of tlzis
license agreement� described as follows:

Subject property may continue to be occupied and used by Licensee solely in conriection
witli tl-ie existing strtictures and for incidental purposes related tkiereto during tlie term of this
liceiise or until termination tYiereo£ Said license slzall terminate upoxi removal oi- dernolition of
said encroacYunent.
Substantial improvements shall not be made upon any encroacl-�tiient witl�out first
obtaining tl�e written consent of Licensor and giving notice to Liceizsor in writing of liow, wlien
and to wl-iat extent sucl� inzprovements are to be made. A copy oftl-iis license shall be attaclzed to
sucYi notice.
. Substantial iinprovement meaiis any repaii-, construcYion, or improven�ent of a structure,
tl-ie cost of wlzich equals or exceeds twenty-five perceizt �25%� of tYie marlcet value of ttze
structure eitliei- �1� before tYie iniproveizient or repair is started; or �2� if the structure lzas beeri
damaged and is being restored, before tl-ie damage occurred. For tize pLiiposes of t2iis definitioii,
"substantial ixnprovexneiit^ is considered to occLir wheii tlie f3i-st altei-atioi� of any porCioi� of the
structure coxTuriences, whether or not that alteration affects t1-ie external dimensions of tl�e
structure. Tl-ie terin does not, liowever, include aiiy projects oi- iirtpi'ovcizzents of a sti-ucture to
comply witlz exisYing state ox- local healtYi, sanitaiy, or safety code specifications whicli are solely
necessary to protect tlie 1-iealtli, safety aiid welfare of tlie publiq intiabitants, or users of sucl�
structure.
In tl�e evant the City of Beaumont, by resolution of tlze City Couiicil� determinas it needs
the subject property, or axzy part tl�ei-eof, for the beiiefit of tf-ie City or to protect tl�e l�ealtl-i, safety
oi- welfare o£ tl-ie public, and it termiiiates ttiis licei�se oi- any pai-t tt�ereof-, Licensee s}�all not
naKc 1 ofa
receive any compensation and the City of Beaumont shall not be liable therefore, whethei• for the
value of propei-ty talcen, damage to the abutting or remaining propei-ty or improvement, loss of
business or profit, loss of access, or otherwise.
The Licensor shall not be responsible for any damages to the structures placed within the
easement property. The Licensor shall not be responsible for any siuface restorations due to
water repairs or any repairs to the Licensor's mains by Licensor crews or contractor crews hired
by the Licensor. The water line, within the exclusive utility easement, is located approximately
seven feet(7') from the property line. The main structure (home) encroaches over the water line
and is a structural risk,which hinders future maintenance and repairs to existing utilities. The
Licensor shall not be responsible for the repair and replacement of any structure within the
Easement propei-ty.
Licensee shall not const�uct any additional permanent structures or appurtenances within
the easement property.
Licensee shall be responsible for visually locating all existing utilities prior to drilling;
there may be underground electrical conductors of high voltage within said easements and
extreme caution should be exercised when worlcing in the vicinity of these conductors, which
may cause serious injuzy and/or death upon contact.
Licensee shall be responsible for any additional costs incui7ed by franchised entity of
Licensor during construction and/or maintenance of its facilities due to the existence of the
encroachment within the Easement propei-ty. The franchised entity of the Licensor will not be
responsible for any cost associated with the repair, construction or replacement of franchisee's
improvements within the Easeinent property. The Licensee shall be responsible for any replat.
Licensee shall at all times indemnify and hold harmless Licensor and any franchised
entity of licensor against, and pay in full, for all claims, losses, damages, law suits, attorney's
fees, costs, judgments or expenses, that Licensor and any franchised entity of Licensor may
sustain, incur, be required to pay or become liable for, resulting in any manner fiom the
construction, maintenance, use, state of repair, or presence of such encroaching structure.
Licensor, and any franchised entity of Licensor, reserves the right to make improvements,
perform maintenance and constiuction to the right-of-way or premises covered by this license
where such is deemed necessary for the health, welfare and safety of the community. In doing
so, Licensor and any franchised entity of Licensor shall not be liable to Licensee for any damage
occasioned thereby and Licensee shall not be entitled to prosecute or maintain a claim against
such parties for any such damage sustained by Licensee to said encroaching structure or any
abutting or attached structures, improvements or land caused by the removal or alteration of any
encroachment. In addition, Licensee shall reimburse Licensor and any fi•anchised entity of
Licensor any additional costs resulting fi•om the encroachment.
Licensor will not be responsible for any damages to the sh�uctures if the water line
should ever develop a cavity or due to any repairs to the Licensor main by Licensor crews. The

Licensor shall not be responsible for the repair and replacement of any paving or other structures
within the Easement propei-ty.
Licensee shall not permit trees, sl�uubs, plants, or any object to be placed on the subject
property in such a manner as to obstruct the view of traffic. In addition, Licensor will not be
responsible for any damages to the structure if the water main should ever develop a cavity or
due to any repairs to the Licensor main by Licensor crews.
As part of the consideration for this agreement, Licensee shall pay to Licensor the sum of
Five Hundred Dollars ($500.00). Said sum being non-refundable.
This license shall be recorded in the Real Propei-ty Records in the Office of the County
Clerlc of Jefferson County, Texas by Licensor.
This agreement is terminable by either party by giving written notice to the other
specifying the date of terinination. Said notice shall be given not less than thirty (30) days prior
to the termination date, therein specified, and shall be recorded in the Real Properry Records in
the Office of the County Clerlc of Jefferson County, Texas by Licensor.
This license is neither assignable nor transferable except in conjunction with, and as part
of, Licensee's conveyance of all the abutting property this license serves, through probate or
wan•anty deed or lease. In any such event, Licensor shall be notified of such occurrence by
being delivered a copy of the document or documents conveying or leasing the same.
Any notice to Licensor shall be sufficient if it is mailed or hand delivered to the Office of
the City Engineer, City of Beaumont, P.O. Box 3827, Beaumont, Texas 77704. Any notice to
Licensee or their successors shall be sufficient if mailed or hand delivered to 7706 Water Edge,
Beaumont, Texas 77707.
