HomeMy WebLinkAboutRES 21-204RESOLUTION NO. 21-204 BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF BEAUMONT: THAT the City Manager be and he is hereby authorized to execute a Memorandum of Understanding between the City of Beaumont and Jefferson County Drainage District No. 6 (DD6) relating to the installation of sixteen (16) flood sensors within DD6 rights -of - way and/or easements. The Memorandum of Understanding is substantially in the form attached hereto as Exhibit "A" and made a part hereof for all purposes. The meeting at which this resolution was approved was in all things conducted in strict compliance with the Texas Open Meetings Act, Texas Government Code, Chapter 551 PASSED BY THE CITY COUNCIL of the City of Beaumont this the 24th day of August, 2021. ' v � ` Mayor Robin Mouton - Ci '�"�'"✓T �1'i e� l i i 1 � BEAUM©NT TEXAS MEMORANDUM OF UNDERSTANDING This agreement between the JEFFERSON COUNTY DRAINAGE DISTRICT NO. 6, a special district of the State of Texas (hereinafter called "DISTRICT") and the City of Beaumont, a home rule city of the State of Texas acting by and through its duly authorized Agent (hereinafter called "CITY'), witnesseth: CITY and the DISTRICT above recited have reached an agreement wherein the DISTRICT is to authorize the CITY to occupy the following locations for the installment of sixteen (16) Low - Cost Flood Sensors (LCFS)c 1. The DISTRICT will allow the CITY to install the sixteen (16) LCFS in DISTRICT ROW and/or easements. 2. The CITY will install the sixteen (16) LCFS in DISTRICT ROW and/or easements. 3. The CITY will clean up after each installation. 4. The CITY will retain ownership and maintenance of the sensors. 5. The CITY will install the sixteen (I6) LCFS in such a manner as to not interfere with DISTRICT maintenance activities. 6. The DISTRICT will not be responsible for damages to the LCFS. 7. The DISTRICT will notify the CITY if any DISTRICT work being performed requires the removal of the LCFS. IT IS FURTHER AGREED THAT ALL TERMS AND CONDITIONS OF AGREEMENT ARE FULLY STATED HEREIN AND NO VERBAL AGREEMENTS ARE AUTHORIZED. This agreement is terminable by either party by giving written notice to the other specifying the date of termination. Said notice shall be given not less than thirty (30) days prior to the termination date, therein specified. This agreement is neither assignable nor transferable except in conjunction with, and as part of, District's conveyance of all the abutting property this agreement serves, through probate or warranty deed or lease. In any such event, City shall be notified of such occurrence by being delivered a copy of the document or documents conveying or leasing the same. STATE OF TEXAS § COUNTY OF JEFFERSON § KNOW ALL MEN BY THESE PRESENTS Jefferson County Drainage District No. 6, whose address is 6550 Walden Road, Beaumont, Texas 77707 (herein called "District") does hereby LICENSE to the City of Beaumont, whose address is 801 Main Street, Beaumont, Texas 77701 (hereinafter called "Licensee"), the below licensed encroachment, subject to the reservations and exceptions described herein. The fee for said license is hereby waived as per the terms of the Interlocal Agreement between District and Licensee dated October 12, 2021. Licensee desires a license from District to use that real property (the subject of this license agreement) described as follows: Said encroachment being the installation and temporary occupancy of flood sensor structures and associated appurtenances at sixteen (16) unique locations as described on Exhibit "A" attached and shown on Exhibit `B" attached. Subject property may be occupied and used by Licensee solely in connection with the flood sensor structures described herein and for incidental purposes related thereto during the term of this license or until termination thereof. Said license is neither assignable nor transferable and shall terminate upon removal or demolition of said encroachment. Notice of Encroachment License Drainage District No. 6/City of Beaumont Page 1 of 5 In the event District, by resolution of its Board of Directors, determines it needs the subject property, or any part thereof, for the benefit of District or to protect the health, safety, or welfare of the public and it terminates this license, or any part thereof, Licensee shall not receive any compensation and District shall not be liable therefor, whether for the value of property taken, damage to the abutting or remaining property or improvement, loss of business or profit, loss of access, or otherwise. Licensee acknowledges that upon request of District, Licensee will relocate and/or remove the encroachment at the sole cost of Licensee. Licensee, on behalf of its successors and assigns, agrees to fully defend, protect, indemnify and hold harmless the District, its employees and agents from and against all claims, demands, or causes of action, and any liability, cost, expense, (including but not limited to reasonable attorney's fees and expenses incurred in defense of said District), damages or loss in connection with the use, maintenance, operation and improvements licensed by this encroachment agreement, which may be made or asserted by Licensee, its heirs, successors, and assigns, employees, agents, contractors, or any third parties, including but not limited to said District's agents, servants or employees on account of any personal injury or death or property damage caused by, arising out of, or in any way incidental to, or in connection with the use, maintenance, operation, and improvements located on said encroachment area, whether or not said District may have jointly caused or contributed to, by its own negligence, any such claim, demand, cause of action, liability, costs, expense, damages, or loss. District, its successors and assigns, reserve the right to make improvements and perform maintenance and construction on the right-of-way or premises covered by this license where such is deemed necessary by the District. In doing so, District and its successors and assigns shall not be liable to Licensee for any damage occasioned thereby and Licensee shall not be entitled to prosecute or maintain a claim against such parties for any such damage sustained by Licensee to said encroaching structure or any abutting or attached structures, improvements or land. In addition, Licensee shall reimburse District, its successors and assigns, for any additional costs resulting from the encroachment. Notice of Encroachment License Drainage District No. 6/City of Beaumont Page 2 of 5 Licensee, its successors and assigns, will not do or cause to be done, anything to impede or obstruct the flow of water through District's right-of-way and easement. District makes no warranties, express or implied, in authorizing this encroachment, nor does District purport to convey any property interest or exclusive privilege by this agreement. It is specifically understood that District is not the agent of, nor does it act for, the fee owners, or any person or entities having any right, title, or right to possession of the land upon which District's easement is located. District shall in no case be liable for any damage or injury to the improvements located upon said encroachment which may be caused by or result from operations undertaken by District for the .maintenance, conservation or improvement of drainage, and no claim or right to compensation shall accrue from any such damage. Licensee acknowledges that the encroachment upon District's right-of-way will be within an area requiring joint use by District for regular mowing and maintenance of the drainage ditch right-of-way and ditch maintenance such as slope or concrete lining failure repair. District's work in this area could introduce damage of varying degrees to the encroachment and any related improvements. Licensee agrees that District will not be held liable for any damage caused to the encroachment area. This license shall be recorded in the Real Property Records in the Office of the County Clerk of Jefferson County, Texas. Said notice shall be given not less than thirty (30) days prior to the termination date, therein specified, and shall be recorded in the Real Property Records in the Office of the County Clerk of Jefferson County, Texas, by Licensee. However, District can terminate this agreement in less than thirty (30) days upon a resolution of its Board finding termination is necessary to protect the health, safety, or welfare of the public. Any notice to District shall be sufficient if it is mailed or hand -delivered to the General Manager, Jefferson County Drainage District No. 6, 6550 Walden Road, Beaumont, Texas 77707- 5510. Any notice to Licensee shall be sufficient if mailed or hand -delivered to the City Manager, City of Beaumont, 801 Main Street, Beaumont, Texas 77701-3548. FLOOD SENSOR INSTALL (Earth & Conc. Lined) o The transmitting node of the sensor will be mounted at the top of the post. This will allow the solar panels to charge the unit and keep the transmitter out of the water in the event of heavy flooding. • A 50' data cable will connect to the transmitter and will run down into the ditch to allow the pressure sensor to gather data. To protect the data cable, 3/4" rigid conduit will be used to house the cable. 0 2-Hole, 1" metal straps will be used to anchor the conduit to the concrete lining of the ditch. • In the event of the DD6 ditch not being concrete lined, 3/4" rigid conduit will still be used to house the data cable but will be anchored with .I -Hooks between the pressure sensor and the mounting pole.
