WHEREAS, on June 9, 2015, the City Council of the City of Beaumont, Texas
passed Resolution No. 15-108 authorizing the City Manger to execute an Indigent Care
Affiliation Agreement between the City of Beaumont and Christus Hospital to ensure
that the indigent residents of the community continue to have access to and receive
quality health care services; and,
WHEREAS, an amendment to the Affiliation Agreement is necessary to add a
Christus sister facility, Christus Jasper Memorial Hospital, to the agreement, and,
WHEREAS, City Council is of the opinion that it is in the best interest of the
citizens of the City of Beaumont for the City to enter into a First Amendment to the City
of Beaumont Indigent Care Affiliation Agreement to add Christus Jasper Memorial
Hospital to the agreement;
NOW, THEREFORE, BE IT RESOLVED BY THE
CITY COUNCIL OF THE CITY OF BEAUMONT:
THAT the statements and findings set out in the preamble to this resolution are hereby,
in all things, approved and adopted; and,
THAT the City Manager be and he is hereby authorized to execute a First
Amendment to the City of Beaumont Indigent Care Affiliation Agreement between the
City of Beaumont and Christus Hospital to add Christus Jasper Memorial Hospital to the
agreement, substantially in the form attached hereto as Exhibit "1" and made a part
hereof for all purposes.
The meeting at which this resolution was approved was in all things conducted in
strict compliance with the Texas Open Meetings Act, Texas Government Code, Chapter
551.

FIRST AMENDMENT TO THE CITY OF BEAUMONT INDIGENT CARE
AFFILIATION AGREEMENT
This First Amendment to the Indigent Care Affiliation Agreement (the "First Amendment")
is entered into this day of '2018 to amend the Indigent Care Affiliation
Agreement (the "Agreement") by and among the City of Beaumont (the "City" or
"Governmental Entity") and CHRISTUS Health, on behalf of its hospital, specified as
"Christus Hospital" in the Agreement, and other hospitals specified in this First
Amendment.
RECITALS
WHEREAS, the City and CHRISTUS Hospital entered into the Agreement effective
July 9, 2015.
WHEREAS, the Agreement was subsequently filed with the Texas Health and
Human Services Commission ("HHSC").
WHEREAS, HHSC requires that each participating hospital submit to HHSC a fully
executed indigent care affiliation agreement in order to be eligible to receive payments
under the Texas Section 1115 Waiver.
WHEARAS, "CHRISTUS Hospital," as used in the Agreement is intended to refer to
the hospital formally named CHRISTUS Southeast Texas - St. Elizabeth and located at 2830
Calder Street, Beaumont, TX.
WHEREAS, CHRISTUS Health, as the corporate parent for CHRISTUS Southeast
Texas - St. Elizabeth is duly authorized to enter into agreements on behalf of CHRISTUS
Southeast Texas - St. Elizabeth and other hospitals associated with CHRISTUS Health.
WHEREAS, the City and CHRISTUS Health desire to amend the Agreement to add an
additional hospital and to subsequently file with HHSC.
NOW, THEREFORE, the parties agree as follows:
1. The first paragraph of the Agreement shall be deleted and the paragraph below
added in its place
This Indigent Care Affiliation Agreement (the "Agreement") is entered into as of
2018 ("Effective Date"), by and between the City of Beaumont, a
unit of local government within the State of Texas (the "City" or "Governmental
Entity"), and CHRISTUS Health on behalf of the hospitals listed in Exhibit C (the
"Affiliated Hospitals"). All hospitals listed in Exhibit C are organized and licensed
under the laws of the State of Texas and their principal offices are provided. The

City and Affiliated Hospitals may be referred to individually in this Agreement as a
Party or collectively as the Parties.
2. All references to "Affiliated Hospital' in the Agreement shall be changed to
"Affiliated Hospitals."
3. Section 1.03(c)(1) of the Agreement shall be deleted, and the following sentence
added in its place
This practice has favored communities with an adequate funding mechanism to
supply the nonfederal share of the Medicaid supplemental hospital payments.
4. Section 1.03(c)(2) of the Agreement shall be deleted.
5. Section 1.04(b) of the Agreement shall be amended by removing the words "like
Affiliated Hospital."
6. The agreement shall be further amended by adding Exhibit C, attached hereto and
incorporated herein by reference.
7. All other terms and conditions of the Agreement shall remain unchanged and are
fully incorporated herein by reference.
8. In executing this First Amendment, each party confirms, warrants and represents
that party's "Representations and Warranties" as set forth in the Agreement were,
and continue to be, true and correct.
