WHEREAS, LaTex Investors, LP, has agreed to donate 2.970 acres situated in the
A. Duwe Survey, Abstract No. 459, as described in Exhibit "A" and shown on Exhibit "B,"
attached hereto, to the City of Beaumont for the Northwest Parkway Project and,
WHEREAS, the City Council has considered the donation of said tract and is of the
opinion that the delivery and receipt of said tract is necessary and desirable and that same
should be accepted;
NOW, THEREFORE, BE IT RESOLVED BY THE
CITY COUNCIL OF THE CITY OF BEAUMONT:
THAT the statements and findings set out in the preamble to this resolution are hereby, in
all things, approved and adopted; and,
THAT the donation of the above described property donated by LaTex Investors,
LP, is hereby in all things accepted.
PASSED BY THE CITY COUNCIL of the City of Beaumont this the 13`h day of May,
2014.

CONVEY unto THE CITY OF BEAUMONT, TEXAS a municipal corporation, domiciled in
Jefferson County, Texas, hereinafter called GRANTEE, P. O. Box 3827, Beaumont, Texas
77704, and to its successors and assigns forever the property described in Exhibit "A", attached
hereto and made a part hereof for all purposes.
GRANTOR does hereby except and reserve from this conveyance unto itself and its
successors and assigns, forever, all of the oil, gas, and sulphur in and under the land herein
conveyed but waives all rights of ingress and egress to the surface thereof for the purpose of
exploring, developing, mining or drilling for same.
This conveyance is expressly made subject to all zoning laws and to restrictions,
covenants, conditions, easements and mineral and/or royalty reservations, if any, effecting the
property.
PROVIDED, HOWEVER, Grantor reserves and retains a reversionary interest and right
of reverter in the Property so that if Grantee fails to start construction in five (5) years and have the
road completed on Grantor property within eight (8) years from the date the City acquires all property
for the project hereof, title to the Property shall automatically revert back into the name of
Grantor. IT IF FUTHER AGREED THAT THE PROPERTY IS CONVEYED AND
ACCEPTED BY GRANTEE "AS IS" AND WITH NO FAULTS AND GRANTOR HEREBY
DISCLAIM AND MAKE NO REPRESENTATION OR WARRANTY EXPRESS OR
IMPLIED, RELATNG TO THE CONDITION, SUITABILITY, FITNESS OR HABITABILITY
OF THE PROPERTY.
TO HAVE AND TO HOLD the above described premises together with all and singular
the rights and appurtenances thereto and in any wise belonging, unto the said GRANTEE and
