REQUESTED ACTION: Council consider a resolution authorizing the City Manager
to enter into a Memorandum of Understanding with the
Texas Department of Transportation to adopt their
Federally-approved Disadvantaged Business Enterprise
Program(DBE) for the Hike and Bike trail Phase II-Major
to Dowlen Project.
BACKGROUND
On July 26, 2011, City Council approved a resolution authorizing the City Manager to execute a
Local Transportation Project Advanced Funding Agreement with the Texas Department of
Transportation(TxDOT) for a multi-use connector project. The grant in the amount of$661,120
with a 20%match of$165,280 was awarded to the City of Beaumont and on September 1, 2011
a contract was executed. As part of the contract with TxDOT, the City agreed to adopt, in its
totality, the State's federally approved DBE.

CITY OF BEAUMONT:
THAT the City Manager be and he is hereby authorized to execute a Memorandum of
Understanding between the City of Beaumont and Texas Department of Transportation
(TxDOT) to implement a Disadvantaged Business Enterprise Program (DBE Program)
relating to the Hike and Bike Trail Phase II- Dowlen Road to Major Drive Project. Said
Memorandum of Agreement is substantially in the form attached hereto as Exhibit"A" and
made a part hereof for all purposes.

MEMORANDUM OF UNDERSTANDING
REGARDING THE ADOPTION OF THE TEXAS DEPARTMENT OF
TRANSPORTATION'S FEDERALLY-APPROVED DISADVANTAGED BUSINESS
ENTERPRISE PROGRAM BY CITY OF BEAUMONT
This Memorandum of Understanding(MOU)is by and between the TEXAS DEPARTMENT OF
TRANSPORTATION(TxDOT),an agency of the State of Texas;and
CITY OF BEAUMONT ,a political subdivision of the State of Texas.
Whereas, from time to time CITY OF BEAUMONT receives federal
funds from the Federal Highway Administration(FHWA)through TxDOT to assist
CITY OF BEAUMONT with the construction and design of projects
partially or wholly funded through FHWA; and
Whereas, CITY OF BEAUMONT ,as a sub-recipient of federal funds,
is required by 49 CFR 26, to implement a program for disadvantaged business enterprises (DBEs), as
defined by 49 CFR 26(DBE Program); and
Whereas, TxDOT has implemented a Disadvantaged Business Enterprise Program (DBE
Program)that is approved by the FHWA pursuant to 49 CFR part 26;and
Whereas,certain aspects of CITY OF BEAUMONT is
procurement of construction and design services are subject to review and/or concurrence by TxDOT as
a condition of receiving federal funds from FHWA through TxDOT;and
Whereas, CITY OF BEAUMONT and TxDOT undertake substantially
similar roadway construction projects and design projects and construct and design their respective
projects using substantially the same pool of contractors;and
Whereas, CITY OF BEAUMONT desires to implement a federally
compliant DBE Program by adopting the TxDOT approved program,as recommended by FHWA;and
Whereas,TxDOT and CITY OF BEAUMONT find it appropriate to
enter into this MOU to memorialize the obligations,expectations and rights each has as related to
CITY OF BEAUMONT 's adoption of the TxDOT DBE's Program to meet
the federal requirements;
Now,therefore,TxDOT and CITY OF BEAUMONT , in consideration of
the mutual promises,covenants and conditions made herein,agree to and acknowledge the following:
(1) TxDOT has developed a DBE Program and annually establishes a DBE goal for Texas that is
federally approved and compliant with 49 CFR 26 and other applicable laws and regulations.
(2) CITY OF BEAUMONT is a sub-recipient of federal assistance for
construction projects and.design projects and,in accordance with 49 CFR§26.21,must comply with a
federally approved DBE Program. The CITY OF BEAUMONT receives its
federal assistance through TxDOT. As a sub-recipient, CITY OF BEAUMONT
has the option of developing its own program or adopting and operating under Tx T's federally
approved DBE Program. The FHWA recommends that sub-recipients, such as
CITY OF BEAUMONT ,adopt the DBE program,administered through TxDOT,
and CITY OF BEAUMONT by its prescribed protocol adopted the TxDOT DBE
Program as of the date when adoption occurred.

(3)This MOU evidences FHWA's and TxDOT's consent to the adoption of the TxDOT DBE Program by
CITY OF BEAUMONT to achieve its DBE participation in federally assisted
Construction and Design Projects.
(4)The parties will work together in good faith to assure effective and efficient implementation of the
DBE Program for CITY OF BEAUMONT and for TxDOT.
(5) CITY OF BEAUMONT and TxDOT have agreed upon the following delegation
of responsibilities and obligations in the administration of the DBE Program adopted by
CITY OF BEAUMONT
(a) CITY OF BEAUMONT will be responsible for project monitoring and data
reporting to TxDOT. CITY OF BEAUMONT will furnish to TxDOT any
required DBE contractor compliance reports,documents or other information as may be required
from time to time to comply with federal regulations.TxDOT will provide the necessary and
appropriate reporting forms,to CITY OF BEAUMONT
(b) CITY OF BEAUMONT will recommend contract-specific DBE goals
consistent with TxDOT's DBE guidelines and in consideration of the local market,project size,and
nature of the good(s)or service(s)to be acquired. CITY OF BEAUMONT is
recommendation may be that no DBE goals are set on any particular project or portion of a project or
that proposed DBE goals be modified. CITY OF BEAUMONT and TxDOT will
work together to achieve a mutually acceptable goal,however,TxDOT will retain final decision-
making authority regarding DBE goals.
(c)TxDOT will cooperate with CITY OF BEAUMONT in an effort to meet the
timing and other requirements of CITY OF BEAUMONT projects.
(d) CITY OF BEAUMONT will be solely responsible for the solicitation and
structuring of bids and bid documents to procure goods and services for its projects that use federal
funds and will be responsible for all costs and expenses incurred in its procurements.
(e)The DBEs eligible to participate on TxDOT construction projects or design projects also will be
eligible to participate on CITY OF BEAUMONT construction projects or design
projects subject to the DBE Program.The DBEs will be listed on TxDOT's website under the Texas
Unified Certification Program(TUCP).
(f) CITY OF BEAUMONT will conduct reviews and provide reports with
recommendations to TxDOT concerning any DBE Program compliance issues that may arise due to
project specific requirements such as Good Faith Effort(GFE),Commercially Useful Function
(CUF), etc. CITY OF BEAUMONT and TxDOT will work together to achieve a
mutually acceptable goal,however,TxDOT will retain final decision-making authority on those issues
and reserves the right to perform compliance reviews. CITY OF BEAUMONT
shall provide TxDOT with a listing of sanctions that will be assessed against contractors for violation
of federal DBE regulations and its procedures for investigation of violations and assessment of
sanctions for documented violations. CITY OF BEAUMONT will require
contractors for its FHWA federally assisted projects to use the attached forms as follows:

(g) CITY OF BEAUMONT will designate a liaison officer to coordinate efforts
with TxDOT's DBE Program administrators and to respond to questions from the public and private
sector regarding CITY OF BEAUMONT 's administration of the DBE Program
through TxDOT.
(h) CITY OF BEAUMONT will be responsible for providing TxDOT with
DBE project awards and DBE Commitments, monthly DBE reports, DBE Final Reports, DBE
shortfall reports,and annual and updated goal analysis and reports.
(i)TxDOT will be responsible for maintaining a directory of firms eligible to participate in the
DBE Program,and providing business development and outreach programs.
CITY OF BEAUMONT and TxDOT will work cooperatively to provide
supportive services and outreach to DBE firms in CITY OF BEAUMONT area.
(j) CITY OF BEAUMONT will submit DBE semi-annual progress reports to TxDOT.
(k) CITY OF BEAUMONT will participate in TxDOT sponsored training
classes to include topics on Title VI of the Civil Rights Act of 1964, DBE Annual Goals, DBE Goal
Setting for Construction Projects and Design Projects, DBE Contract Provisions, and DBE Contract
Compliance, which may include issues such as DBE Commitments, DBE Substitution, and Final
DBE Clearance. TxDOT will include DBE contractors performing work on
CITY OF BEAUMONT projects in the DBE Education and Outreach Programs.
(1)The Executive Director of CITY OF BEAUMONT will implement all federal
requirements, including those stated in Attachments A through F,which are incorporated as though
fully set out herein for all purposes.
(m)In accordance with 23 CFR 200.1, CITY OF BEAUMONT shall develop
procedures for the collection of statistical data(race, color,religion,sex,and national origin)of
participants in,and beneficiaries of Sate highway programs,i.e.,relocatees, impacted citizens and
affected communities;develop a program to conduct Title VI review of program areas;and conduct
annual reviews of special emphasis program areas to determine the effectiveness of program area
activities at all levels. TxDOT, in accordance with federal law,may conduct compliance reviews by
TxDOT's Office of Civil Rights(OCR).
(n) CITY OF BEAUMONT will comply with 49 CFR 26.29 as stated in
Attachment F.
(6)In the event there is a disagreement between TxDOT and CITY OF BEAUMONT
about the implementation of the TxDOT DBE Program by CITY OF BEAUMONT
the parties agree to meet within ten (10) days of receiving a written request from the other party of a
desire to meet to resolve any disagreement. The parties will make good faith efforts to resolve any
disagreement as efficiently as is reasonably possible in consultation with FHWA. Non-compliance by
CITY OF BEAUMONT can result in restitution of federal funds to TxDOT and
withholding of further federal funds upon consultation with FHWA.

(7)This MOU becomes effective upon execution by all parties and automatically renews each year
unless a party notifies the other parties of its intent to terminate the agreement.
(8)If this MOU is terminated for any reason, CITY OF BEAUMONT will be
allowed reasonable time in which to seek approval from FHWA for an alternative DBE Program,
without being deemed non-compliant with 49 CFR Part 26.
(9)This MOU applies only to projects for which CITY OF BEAUMONT is a sub-
recipient of federal funds through TxDOT. CITY OF BEAUMONT may also
implement a Minority and Women-Owned Small Business Enterprise(M/W/SBE)policy and program
that applies to projects for which it is not a sub-recipient of federal funds through TxDOT and which
are not subject to the TxDOT DBE Program. CITY OF BEAUMONT may,at its
option,use some aspects of the TxDOT DBE Program and other similar programs in implementing its
other policies and programs for its non-federally funded projects.
(10)The following attachments to this MOU are also incorporated as if fully set out herein for all
purposes:

(12)This MOU may be modified or amended only by written instrument,signed by both
CITY OF BEAUMONT and the TxDOT and dated subsequent to the effective
date(s)of this MOU. Except as authorized by the respective parties,no official,employee,agent,or
representative of the parties has any authority,either express or implied,to modify or amend this MOU.
(13)The provisions of this MOU are severable. If any clause,sentence,provision,paragraph,or article
of this MOU,or the application of this MOU to any person or circumstance is held by any court of
competent jurisdiction to be invalid, illegal,or unenforceable for any reason,such invalidity,illegality,
or unenforceability shall not impair,invalidate,nullify,or otherwise affect the remainder of this MOU,
but the effect thereof shall be limited to the clause, sentence,provision,paragraph,or article so held to
be invalid, illegal,or unenforceable,and the application of such clause,sentence,provision,paragraph,
or article to other persons or circumstances shall not be affected;provided,however,
CITY OF BEAUMONT and TxDOT may mutually agree to terminate this MOU.
(14)The following provisions apply in regard to construction of this MOU:
(a)Words of any gender in this MOU shall be construed to include the other,and words in either
number shall be construed to include the other,unless the context in this MOU clearly requires
otherwise.

(b)When any period of time is stated in this MOU,the time shall be computed to exclude the first
day and include the last day of the period. If the last day of any period falls on a Saturday, Sunday,
or national holiday,or state or county holiday,these days shall be omitted from the computation.
All hours stated in this MOU are stated in Central Standard Time or in Central Daylight Savings
Time,as applicable.
(15)This MOU shall not be construed in any way as a waiver by the parties of any immunity from suit or
liability that parties may have by operation of law, and the parties hereby retain all of their respective
affirmative defenses.

REQUESTED ACTION: Council consider a resolution authorizing the execution of a
License to Encroach Agreement with Justino and Estalla Jaimes.
BACKGROUND
There is an existing structure located at 2525 Rusk Street encroaching into a twenty foot(20')
alley in Lot 2, Block 20, Oaks Addition. The structure encroaches 7.44'.
The request from Justino and Estalla Jaimes, the owners of the structure, was submitted to all
city departments and utility companies with one objection from Centerpoint Energy. The City
Utilities Department approved the license to encroach with the following conditions:
The City of Beaumont will not be responsible for any damage to the structures if the sanitary
sewer line should ever develop a cavity or due to any repairs to the City main by City crews.
The City of Beaumont shall not be responsible for the repair and replacement of any paving or
other structures within the Easement property.
The License Agreement protects the City from liability and provides a thirty (30) day
cancellation clause.
FUNDING SOURCE
There is a one time non-refundable fee of$500 from Justino and Estalla Jaimes for the License
to Encroach.

WHEREAS, Justino and Estalla Jaimes have requested that the City of Beaumont
grant a License to Encroach into one (1) twenty foot (20') utility easement at 2525 Rusk
Street, which is described as being in Lot 2, Block 20, Oaks Addition, to the City of
Beaumont. The encroachment being a structure overlapping 7.44' into the 20' utility
easement described in Exhibit"A" and shown in Exhibit"B," attached hereto and made a
part hereof for all purposes; and,
WHEREAS, City staff has expended considerable time and effort in investigating
the effect of such encroachment upon the City easement and utilities therein; and,
WHEREAS, it appears that it would be equitable to allow such encroachment at this
time;
NOW, THEREFORE, BE IT RESOLVED BY THE
CITY COUNCIL OF THE CITY OF BEAUMONT:
THAT the statements and findings set out in the preamble to this resolution are hereby, in
all things, approved and adopted; and,
THAT the City Manager be and he is hereby authorized to execute a License to

LICENSE TO ENCROACH

ALL MEN BY THESE PRESENTS:

On the date last indicated below, the City of Beaumont, a municipal corporation, of
Beaumont, Jefferson County, Texas, herein called "Licensor" and Justino and Estalla Jaimes,
owner, hereinafter called "Licensee", contracted and agreed as set forth herein.
Licensee desires a license from Licensor to use that real property (the subject of this
license agreement)described as follows:
Said encroachment being a structure overlapping a 20' (twenty foot) alley by 7.44'
on Lot 2, Block 20, of the Oaks Addition (2525 Rusk Street). Said encroachment
is shown on Exhibit "A", attached.
Subject property may continue to be occupied and used by Licensee solely in connection
with the existing structures and for incidental purposes related thereto during the term of this
license or until termination thereof. Said license shall terminate upon removal or demolition of
said encroachment.
Substantial improvements shall not be made upon any encroachment without first
obtaining the written consent of Licensor and giving notice to Licensor in writing of how, when
and to what extent such improvements are to be made. A copy of this license shall be attached to
such notice.
Substantial improvement means any repair, construction, or improvement of a structure,
the cost of which equals or exceeds twenty-five percent (25%) of the market value of the
structure either: (1) before the improvement or repair is started; or (2) if the structure has been
damaged and is being restored, before the damage occurred. For the purposes of this definition,
"substantial improvement" is considered to occur when the first alteration of any portion of the
structure commences, whether or not that alteration affects the external dimensions of the
structure. The term does not, however, include any projects or improvements of a structure to
comply with existing state or local health, sanitary, or safety code specifications which are solely
necessary to protect the health, safety and welfare of the public, inhabitants, or users of such
structure.
In the event the City of Beaumont, by resolution of the City Council, determines it needs
the subject property, or any part thereof, for the benefit of the City or to protect the health, safety
or welfare of the public, and it terminates this license or any part thereof, Licensee shall not
receive any compensation and the City of Beaumont shall not be liable therefore, whether for the
value of property taken, damage to the abutting or remaining property or improvement, loss of
business or profit, loss of access, or otherwise.

EXHIBIT "A"
Licensee shall at all times indemnify and hold harmless Licensor and any franchised
entity of licensor against, and pay in full, for all claims, losses, damages, law suits, attorney's
fees, costs, judgments or expenses, that Licensor and any franchised entity of Licensor may
sustain, incur, be required to pay or become liable for, resulting in any manner from the
construction,maintenance, use, state of repair, or presence of such encroaching structure.
Licensor, and any franchised entity of Licensor, reserves the right to make improvements,
perform maintenance and construction to the right-of-way or premises covered by this license
where such is deemed necessary for the health, welfare and safety of the community. In doing
so, Licensor and any franchised entity of Licensor shall not be liable to Licensee for any damage
occasioned thereby and Licensee shall not be entitled to prosecute or maintain a claim against
such parties for any such damage sustained by Licensee to said encroaching structure or any
abutting or attached structures, improvements or land caused by the removal or alteration of any
encroachment. In addition, Licensee shall reimburse Licensor and any franchised entity of
Licensor any additional costs resulting from the encroachment.
Licensor will not be responsible for any damages to the structures if the sanitary sewer
line or the storm sewer should ever develop a cavity or due to any repairs to the Licensor main
by Licensor crews. The Licensor shall not be responsible for the repair and replacement of any
paving or other structures within the Easement property.
Licensee shall not permit trees, shrubs, plants, or any object to be placed on the subject
property in such a manner as to obstruct the view of traffic. In addition, Licensor will not be
responsible for any damages to the structure if the sewer main should ever develop a cavity or
due to any repairs to the Licensor main by Licensor crews.
As part of the consideration for this agreement, Licensee shall pay to Licensor the sum of
Five Hundred Dollars ($500.00). Said sum being non-refundable.
This license shall be recorded in the Real Property Records in the Office of the County
Clerk of Jefferson County, Texas by Licensor.
This agreement is terminable by either party by giving written notice to the other
specifying the date of termination. Said notice shall be given not less than thirty (30) days prior
to the termination date, therein specified, and shall be recorded in the Real Property Records in
the Office of the County Clerk of Jefferson County, Texas by Licensor.
This license is neither assignable nor transferable except in conjunction with, and as part
of, Licensee's conveyance of all the abutting property this license serves, through probate or
warranty deed or lease. In any such event, Licensor shall be notified of such occurrence by
being delivered a copy of the document or documents conveying or leasing the same.

the City Engineer, City of Beaumont, P.O. Box 3827, Beaumont, Texas 77704. Any notice to

REQUESTED ACTION: Council consider a resolution approving a change order to
the contract with Brystar Contracting for the Madison
Street Project, approving the final payment amount and
accepting the Project.
BACKGROUND
On July 19, 2011, City Council awarded Brystar Contracting Inc. the contract for the Madison
Street—Irving to Grove Project in the amount of$2,396,243.20. There were two previous
change orders resulting in an increase of$257,422.74.
Change Order Three and Final in the amount of$200,749.50 is required to adjust quantities
actually used during the performance of the project and increase the final contract amount to
$2,854,415.44.
The project has been inspected and completed in accordance with the Terms and Conditions set
out in the contract documents and we recommend final payment to Brystar Contracting Inc. in
the amount of$266,645.77.
Brystar Contracting Inc subcontracted with the MBE firms of Crabtree Barricade Systems,
American Remediation Options, Wholesale Electric, H& E Aggregates, and Rural Pipe &
Supply. The total MBE amount$227,097.70 represented 7.96% of the final contract amount. A
copy of the MBE Schedule C is attached.

RESOLUTION NO.
WHEREAS, on July 19, 2011, the City Council of the City of Beaumont, Texas,
passed Resolution No. 11-200 awarding a contract in the amount of $2,396,243.20 to
Brystar Contracting, Inc., of Beaumont Texas,forthe Madison Street Pavement, Drainage,
Water and Sanitary Sewer Improvement Project to include storm sewer, sanitary sewer,
water installations and concrete pavement improvements including sidewalks; and,
WHEREAS, on April 17, 2012, the City Council of the City of Beaumont, Texas
passed Resolution No.12-076 for Change Order No. 1 in the amount of $56,922.74,
thereby increasing the contract amount to $2,453,165.94; and,
WHEREAS, on July 10, 2012, the City Council of the City of Beaumont, Texas
passed Resolution No. 12-146 for Change Order No. 2 in the amount of$200,500, thereby
increasing the contract amount to $2,653,665.94, and;
WHEREAS, Change Order No. 3 in the amount of$200,749.50 is required to adjust
the quantities actually used during the performance of the project, thereby increasing the
contract amount to $2,854,415.44; and,
WHEREAS, the project has been inspected and completed in accordance with the
terms and conditions of the contract and should be accepted;
NOW, THEREFORE, BE IT RESOLVED BY THE
CITY COUNCIL OF THE CITY OF BEAUMONT:
THAT the statements and findings set out in the preamble to this resolution are hereby, in
all things, approved and adopted; and,
THAT the City Manager be and he is hereby authorized to execute Change Order
No. 3 to adjust quantities actually used during the performance of the project, thereby
increasing the contract amount by $200,749.50 for a total contract amount of
$2,854,415.44; and,
BE IT FURTHER RESOLVED THAT the Madison Street Pavement, Drainage Water
and Sanitary Sewer Improvement Project be and the same is hereby accepted; and,
BE IT ALSO RESOLVED THAT the City Manager is hereby authorized to make final
payment in the amount of$266,645.77 to Brystar Contracting, Inc.
