BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF BEAUMONT:
THAT the City Manager be and he is hereby authorized to grant a Utility Crossing
Agreement to Crosstex NGL Pipeline, LP, substantially in the form attached hereto as
Exhibit "A," to install a twelve inch (12 ") pipeline which will cross one (1) eight inch (8 ")
sanitary sewer force main located near Club Oaks Road, one (1) four inch (4 ") sanitary
sewer force main on Tolivar Canal Road and crossing Bunns Canal belonging to the City
of Beaumont for the purpose of transporting natural gas, said pipeline is to be constructed
in compliance with City requirements.

of Beaumont,'Jefferson County, Texas, but being within our Extra- Territorial Jurisdiction
(ED) and/or Certificate of Convenience and Necessity (CCN) and being more particularly
described in Exhibit "A" attached hereto and made a part hereof for all purposes.

BBOLMWD COVERAGE:
o Licensee shall furnish the, City with a Certificate of Sttandand inability
Insurance, including bodily Wurba and property damage, naming the City
of Beaumont as an Additional Insured. Such policy shall provide for the
following minimum coverage:
Bodily injuries: S 390,000.0 per person
51,000,900.00 per incident

Such imsurnmco shalt be maintained in force and Affect during'dne
consbuction or required maintenance of the pipeline and during rho life of
the pipeline.
Such certificate shall contain a provision that at least fiften (15)
days written notice must be given to the City prior to camellstion,
alteration, or modification of such bunnance.
n Licensee shall have in force with the City a surety bond in the pdnch l
amount of 51,900,000.90. The bond shall be payable to fire City of
Beaumont for the use and benefit of any pe= armed thereto and

If the pipeline or any part therwf installed by Licensee shall be in any
respect damaged or in uMd by City or any of its agents or employees in
conowdon with to perfomnaoce of any work or repairs that may be done
upon the property mentioned herein:

Besumont 'for any such damage or irgjunm so sustained by it, however, said

City will use its beat effasts to notify Licenses of any proposed caestmdioa

The City of Beaumont, hereinafter called "City ", for and in consideration of the
One Hundred Ninety One Dollars and 25/100 ($191.25)
sum specified herein
hereby grants to
Crosstex NGL Pipeline, L.P.
hereinafter called "Licensee", the
license to'lay, maintain, operate, replace, or remove a pipeline for the transportation of oil,
gas, Water, or Natural Gas Liquids
products, on or across the following City easement and/or property situated outside the City
of Beaumont,'Jefferson County, Texas, but being within our Extra-Territorial Jurisdiction
(ETJ) and/or Certificate of Convenience and Necessity (CCN) and being more particularly
described in Exhibit "A" attached hereto and made a part hereof for all purposes.

o License Agreement flee - $500.00
o Annual foe of $2.25 per linear foot of pipe hw located within City
property. Said fine shall be resat on Umm y 31, 2011 and shall be roses
every ten (10) years, thereaft, to a level to be domed by the City
Council or them delegsted rgresentative.
All firs, including the first annual fine for Unear foot usage shall be made to
the Water Utilities Department and payable to the City of Beaumont prior to
constriction.
This license is Wanted by the City of Beaumont aubjed to conditions. Failure to comgly
with the following may result in termination of agreement (see page l;).
(�BNERAL CONDTTTONS:
o Licensee does not kked to soli product for resale from the coveted pipeline
to aaaetomers located within the, City; however, Licensee rec ovi;ms that
should it sell product for resale atom his covered pipeline to customers
within the City, it will be required to report such distrUm ion and whoa
lawfully required to do so, pay a street rental fee based on ;revenues. The
annual fee and the regulations controlling dw payment of such fee will be
those as lawfully established by the on in am of the City.
Ali pipeline crossing City of Beaumont utility water or saoitety

these limits, the pipeline shall be protected by caging or other method
approved by the City Water Utilities Department
o Tlm pipeline shall be constructed in such a manner as approved by the City
so as it does not interfere with the use of the City property.'
o The pipeline shall be installed a minh mma of three (3) Emet below ground
and a minimum of five (5) feet below the lowest existing or proposed ditch
Wades, waftdines, saniy, per lines or dorm drainage limes, unless
othaxwin authorized by the City. Sulu grades and line$ shall be indicated
on map submittal, as well as depth of proposed pipeline (see pap 3).

The construction and operation of the pipeline shall nut interfere
with the natuml drainage in that am not with dw system of the
ON nor with sanitary sewer lines, watadines, or other utilities.
Damage to eacrsdng ditch WaM during constrnedon, or mainlenance
of the pipeline shall be corrected and the ditch grade shall be restored to the
condition and grade at which it sedated prior m won or meintensmoe.
Bore pits shall be bacldilled according to City standards.

pipeline strati be pahrmed in such a manner that will cause minimal

to the public. Licensee shall promptly restore the area to as
good a condition as before working thereon and to the reasonable
sati &ctkm oftbe City's Water Utilities Departmemt.

property when operations are performed will be 'refired to arigh 11
condition or batter No equipment or iasddlsotion procedures will be used
which will damage any structures. The cost of any repairs to SMOOM
sanitary'sewrx lines, water lures or other agent features as a result of this
installation will be borne by the owner of this line.
o Any construction which takes place m% on, under, above, or across
property not owned by the City shall require additional pan by the
owner(s) of the property involved. Written proof of said permission is to be
provided to the City as part of the application process. Approval of this
license went excludes pennission to do any construction on property
which is not owned by the City of Beaumont.

o Any licenses, permits or agreemanb required by mother govdrmoanal
entity (County, State or Federal) to adjoining property shall be obtained
and a copy of such document shall be provided to the City.
o Licensee shall be resporiible for acquiring all a9mme b nocemmY for the
lawful use of say private property.
o A map showing the location of the proposal pipeline shall be provided.
o The pipeline shall be nmintmined and operated in sash a manner as not to
look and/or cause damage to the City property. Once the pipeline is in
operation, any dama®e that occur: to the pipeline which results in expoaame
or release of product moat be reported inneeiiaiely tp • the City Fire
Department and Water Uttgtiiaa Depawtment. Licensee shall fully

relocation of the pipeline. As provided, the necessity for relocation of the
pipeline shall be solely within the discretion of City.
° Installation will be done in acoorddaim with all City dmxb da and statutes
of the State of Texas.
° Lfoeosee shall fiaaaah the. City with a Certificate of Standard Liability
Insuuaace, including bodily Wurlas and p vparty damep nozi the City
of Beaumont as an Additional Insured. Such policy shall provide for the
fallowing minimum covarage:

Such insurance shall be maimed in fence and .elect during the

Such certificate ahall contain a provision that at least fifteen (15)
days written notice must be given to the City prior to cancellation,
abandon, or modification of such inwanae.
c Licensee shall have in force with the City a murety bond in the principal
amournt of 51,000, 900.00. The bond shall be payable to the City of
Beaumont For the use and baoe8t of any person a thW thereto and

Licensee shall mark the location of its lines within forty -night (46)
bolus after receipt of such notification of proposed oonstruetion.
Licensee shall maintain a local, or toll frx, telephone number to be
called for notification of constnwction or maintenance and for location of
lines. Such number, or charges to such manber, will be provided to the City
(Water Utilities Departmin t) and kept cum t at all times. This number
shall be provided to a d*w permitted to condrt4 maintain or excavate
within this City property and which are required to provide notification of
such work. Wban information has been relayed to Licensee, trough flu
phone number provided, such contact shall, comae won for

person(s) requiring the lines to be relocated.
City reearvea the right to lay, and to permit to be laid, sewer, gas, water and
other piipee and cables, and to do or permit to be done any uoder^grovad

work that may be deemed to be neoereary or proper by City in, across,
along or under the property. In doing or permitting any such work, the
City of Beeuumont shall not be liable to Licensee for any damage
oaesioaed; it being uwderMood that nobing herem shell be construed as
ftwbft Licensee's rids to recover damagmi agemst any conotrsdbor at
third pearly who may be responsible for damages to Licensee's fieoUtdos.
o Whenever by rasaon of the change in the grede of the property occupied by
Licensees' pipelim or by reason of the location or manna of consWx&g
drainages srnatures, water PipM gas Pipes, sewers, or other underground
construction, for any purpose whatever, it shall be loaned necessary by
City to relocate, alter, sucase, dram adopt or conform 60 p4ehine of
Licensee tl srdo, shah ahaoge d all be -made primly by Licensee at its
cost and without claim for reimbuusemreat or dames against City. If the
change, is demanded by the City for the benefit of any od er paeon or
private corporation, except flue City. Ucaesee shall be seimbunsed fully by
the person or corporation dosirmg or ocsesioning such change for any
evrpense arising out of such changes; Licroses will, upon notice from the
City, make such change imnnedistely and at its own cost; it being
understood that City will not participal a in any part of the test of Way
change involving relocatioau, altering, encasing, boring. of chi iri any
maser ofthe pipeline where same is within City property.
c Any and all work to be pesrfonmed on City property shall be observed and
inspected by a City rep osen ive. Any work to be performed within the
City limits will be subject to periodic inspection to am= eompliaam with
construction. standards.
c Licensee shall provide the Ciity (Water Utilities Depsrt nW) forty-d& (48)
hours prior to the inatallatim of the lines permitted by this license. A
rep eseMtve will be wheduled to be present. The expense of such
inspection services may be billed to the Licensee and such amounts will be
reimbursed to the City.
Licensee shall not,+ the Water Utilities Department at least fa dy -eight (48)
hours prior to completivn of work and removal Of equipment fiom the job
site to permit the City to make an iaapeation.

Introduction
New pipeline is placed into the ground at a predetermined safe depth by open -cut trenching
or employing a Horizontal Directional Drill (HDD) technology. HDD approach to pipeline
construction has no surface impacts between the entry and exit points of a pipeline drill.
Crosstex employs the HDD method of pipeline construction in the sensitive areas, such as
wetlands, waterways, forested preserves, historical preservation sites, and other areas as
may be designed by a jurisdictional federal, state, and/or local authority.
The HDD technology uses bentonite slurry, a fine clay material as a drilling lubricant. An
inadvertent return of a drilling lubricant to the surface, referred to as "frac -out', is a potential
concern for HDD method of construction. While the bentonite is non -toxic and commonly used
in farming practices, its fine constituents may pose a suffocating effect on aquatic plants and
fish when accidently discharged into a waterway. The primary areas of concern for Frac -outs
are at the entrance and exit points where the drilling equipment is at depths of 12 to 20 feet.
The likelihood of a frac -out decreases as the depth of the pipe HDD increases.
In addition to a visual observation, lowered pressure reading on the drilling equipment will be
treated as an indicator of a potential frac -out.
The purpose of this Frac -out Contingency Plan is to:
❑ Minimize potential for a HDD frac -out
❑ Provide for timely detection of frac -outs
❑ Provide for immediate notification and mobilization of appropriate response resources in
case of a frac -out
❑ Provide for proper documentation of the incident and its response
The following measures will be implemented to minimize potential for frac -out:
1. The drilling entry and exit sites will be foot - surveyed to confirm that there are no
cultural and /or biological sensitive resources present on the surface
2. Each entry and exit site will be marked appropriately so their boundaries can be
easily seen by a working crew
3. Barriers (e.g., straw bales or sedimentation fences) will be erected between the bore
site and nearby sensitive resources prior to drilling, as appropriate, to prevent released
material from reaching the resource

4. Access and egress locations will be designated and clearly marked
5. Working crews will be briefed on the proximity of sensitive habitats to the working
area, as appropriate
6. Necessary response equipment and/or third -party resources will be made available at
a construction site or at a readily accessible locations
7. Response equipment will be maintained in sufficient quantities and in good
working order at all times
8. All members of working crews will be instructed to notify of a suspected frac-
out immediately
9. The immediate notification will be directed to the Crosstex - appointed
construction inspector available onsite
10. Crosstex - appointed construction inspector* will make immediate notification to
Crosstex Operations Control Center (OCC) to report a suspected frac -out

*Anyone working for Crosstex and /or on a Crosstex site is authorized to call OCC to
report an incident.
The following measures will be taken in response to a frac -out:
1. Stop HDD work immediately, including the recycling of drilling mud/lubricant to
prevent further discharge of drilling mud into the sensitive area
2. Determine the location of the frac -out by using a GPS or other type of
geographic location pointer
3. Notify Company Inspector or Representative immediately
4. Inspector will call OCC to report a "Frac -out" incident
5. OCC will send an immediate alert (MIR3) notification to a pre-determined response
group (Environmental, Safety, DOT Regulatory, Engineering, etc. departments)
6. Crosstex Environmental representative will make the notifications to agencies having
the jurisdiction over the area where the frac -out occurred (contact numbers provided at
the end of this document)
7. Determine the extent of the frac -out (estimated quantity discharged, approximate
area impacted)
B. If the frac -out is terrestrial, isolate the area with hay bales, sand bags, or silt
fencing surrounding and containing the drilling mud
9. Depending on a landowner's preferences and /or instructions from the Jurisdictional

authority the discharged drilling mud may have to be removed from the affected area
or left in place. Ensure that clear instruction is received from the Crosstex
Environmental Department prior to making the final decision.
10. Once the excess drilling mud is removed, the area may be re- seeded and/or
replanted, as appropriate, or allowed to re -grow from the existing vegetation
11. The affected area will be inspected to ensure that new vegetative cover is
successfully re- established
12. If the frac -out is aguatic/wedands. ensure that USACOE has been notified within
24 hours
13. Monitor the frac -out for 4 hours to determine if the drilling mud congeals (bentonite
will usually harden, effectively sealing the frac -out location)
14. Upon consent of the landowner and USACOE, if the drilling mud congeals, take no
other action that would potentially suspend sediments in the water column
15. If drilling mud does not congeal, erect isolation/containment structures to constrain the
mobility of the mud. Third -party contactor may be called upon to remove the
discharged mud
16. The HDD work may resume after the frac -out area has been secured and no
further discharges of drilling mud are expected or possible.
The following steps will be taken to close out the frac -out incident:
1. After frac -out is stabilized and any required removal is completed, document
post - cleanup conditions with photographs
2. Prepare frac -out incident report describing time, place, actions taken to remediate the
affected area
3. Record the measures taken to prevent recurrence of such incidents
4. Copies of the final report must be filed with the Crosstex Environmental Department and
the Pipeline Construction Job Book
