REQUESTED ACTION: Council consider authorizing the acceptance of a water
line easement.
RECOMMENDATION
The Administration recommends acceptance of a water line easement to provide access for fire
prevention services at 8060 Eastex Freeway.
BACKGROUND
The North Church of Beaumont has agreed to convey a fifteen (15) foot wide water line
easement to the City of Beaumont. The approximately 227.64 foot long easement [out of the
W. B. Dyches Survey] will provide mandatory access to the water lines and fire hydrants for
the Church of the Rock North [8060 Eastex Freeway] and would also allow for the
construction, alteration, operation and maintenance of the said water line and appurtenances.
BUDGETARY IMPACT
None.

RESOLUTION NO.
WHEREAS, The North Church of Beaumont, has offered to convey a fifteen-foot
(15') wide Water Line Easement, being out of and a part of the W. B. Dyches Survey, as
described in Exhibit "A" attached hereto, to the City of Beaumont for the purpose of
providing access for fire prevention services; and,
WHEREAS, the City Council has considered the purpose of said conveyance and
is of the opinion that the acceptance of said conveyance is necessary and desirable and
that same should be accepted;
NOW, THEREFORE, BE IT RESOLVED BY THE

CITY COUNCIL OF THE CITY OF BEAUMONT:
THAT the easement conveyed by The North Church of Beaumont, as described in Exhibit
"A" attached hereto, is hereby, in all things, accepted.
PASSED BY THE CITY COUNCIL of the City of Beaumont this the 10th day of
June, 2008.

That certain centerline description for a 15' wide water line easement, 7.5' each side of
centerline, out of the W. B. Dyches Survey, Abstract 17, Jefferson County, Texas, being
out of a called 7.96 acre tract conveyed to The North Church of Beaumont as recorded in
Clerks File No. 2004016568 of the Official Public Records of Jefferson County, Texas,
said centerline being more particularly described by the courses and distances as follows:
Note: The Basis of Bearing is the south line of the said 7.96 acre tract having been called
South 71'14'00" West 734.47 feet,
COMMENCING at a %2" iron rod found in the east right-of-way line of Eastex Freeway (aka
U.S. Highway 69, 96 and 287) for the northwest corner of Block 3 of the Eastex
Commercial Complex, a plat recorded in Volume 12, Page 1 of the Map Records of
Jefferson County, Texas and the southwest corner of the said 7.95 acre tract;
THENCE along the said east right-of-way line of Eastex Freeway (aka U.S. Highway 69,
96 and 287) and the west line of the said 7.95 acre tract with a curve to the right, having a
Chord Bearing of North 18 001'05" West, a chord distance of 120.59 feet and a radius of
5594.60 feet, a distance along the curve of 120.60 feet to a point for the POINT OF
BEGINNING of the said centerline from which a 5/8" iron rod found for the southwest
corner of a called 1.816 acre tract conveyed to William T. Watson as recorded in Volume
2095, Page 253 of the Deed Records of Jefferson County, Texas and the most westerly
northwest corner of the said 7.95 acre tract bears a Chord Bearing of North 15°24'35"
West and a Chord Distance of 388.71 feet;
THENCE North 71059'33" East a distance of 227.64 feet to a point for the POINT OF
TERMINATION of the said centerline.
This Field Note Description is based on a survey performed by Fittz& Shipman, Inc.
during December 2007.

REQUESTED ACTION: Council consider authorizing the award of a contract for
the Calder Avenue Drainage Diversion and Pavement
Improvement Project (Phase I).
RECOMMENDATION
The administration recommends the award of a contract to Reytec Construction Resources, Inc.
of Houston in the amount of$23,733,567.95.
BACKGROUND
On May 22, 2008 the City of Beaumont received four(4) bids for the Calder Avenue Drainage
Diversion and Pavement Improvement Project (Phase I). The lowest bid was submitted by Reytec
Construction Resources Inc. in the amount of$23,733,567.95. The Engineer's estimate for the
project before receipt of bid was $24,200,000.00. The list below identifies the total bid received
from each contractor. A bid tabulation is attached for additional information.

RECOMMENDATION
The Administration recommends Council adopt guidelines and allocate funding in the amount of
$300,000 for a proposed Downpayment Assistance Program.
BACKGROUND
The City of Beaumont receives an annual allocation of federal HOME Investment Partnerships
fields (HOME funds)from the U. S. Department of Housing and Urban Development to provide
aflbrdable housing opportunities to low-to-moderate income families. This funding has steadily
decreased since 2001. As such, the number of families we are able to serve has been greatly
impacted. In prior years, the City has been able to construct up to 20 homes per grant year.
However, with a decrease in funding, coupled with the rising costs of construction, we are
currently able to construct no more than ten homes per year.
As a means of leveraging our HOME dollars in order to provide assistance to more households,
the Housing Services Division has drafted a Downpayment Assistance Program for your
consideration. This proposed Downpayment Assistance Program will be made available to first-
time home buyers and will provide up to $14,999 to assist with down payment and closing costs
for approximately 20 eligible low-to-moderate income families. Proposed guidelines and program
application for this program are attached for your consideration.

PROPOSED DOWNPAYMENT ASSISTANCE PROGRAM
I':ey components.
• Must be a "first-time homebuyer" (applicant must not own or have owned
property within the last three years. This requirement is waived in instances where
the home was awarded to the other party in a divorce proceeding or where such
judge has ordered the home be sold)
• The home must be located within the City of Beaumont
• Direct assistance to the home buyer is limited to $14,999
• Maximum purchase price is $120,000
• Homebuyer must be able to obtain an acceptable loan within thirty(30) days of
being qualified for the City's Downpayment Assistance Program
• Homebuyer's household gross income cannot exceed the current year HOME
Program limits by family size(income tables are updated annually by HUD)
Principal Residence.Homebuyers will be required to certify that they intend to occupy the unit as their
principal residence during the required affordability period. Annual occupancy recertification must be o
made throughout the five year affordability period.
Homebuyer's Counseling Certification.The homebuyer must successfully complete a homebuyer
education course approved by the City of Beaumont prior to receiving assistance.
Recapture Provisions.Assistance is provided in the form of a deferred payment loan forgiven at 20%
per year after the first year for purchase of an existing home. If the homebuyer(s)sell,refinances or
moves out of the property within the five year affordability period,the homebuyer(s) will be responsible
for the full amount of the loan that has not been forgiven. This provision will be enforced by requiring
that the HOME recipient execute a note in favor of City of Beaumont and secured with a 2 n lien recorded
with the Jefferson County Clerk.
Farm of Ownership.Fee simple title is the only acceptable form of ownership.
Property Conditions.Property must pass,at minimum, federal Housing Quality Standards(HQS) and be
environmentally cleared prior to the homebuyer receiving assistance. The City of Beaumont will be
responsible for conducting the required clearances.
Income Verification.The City of Beaumont will calculate income according to criteria established by
HUD to determine total household income. Income verification will be valid for a six-month period
following receipt of information. If the homebuyer does not occupy the property, or close the mortgage
loan within six months,the household income must be re-verified with updated source documents.
Minimum Borrower Investment.A minimum investment of$2,000 by the borrower is required in the
purchase of the home.This can include earnest money,appraisal fees,credit report fees,amounts required
to be brought to closing or any fees paid to the program administrator.
The Program is designed to assist low-income first-time homebuyer's with the purchase of affordable,
safe and decent housing and funds are available on a first come-first served basis.The City of Beaumont
reserves the right to amend program guidelines when it is deemed necessary. Lenders and Professional
F:eal Estate Persons assisting applicants in the City of Beaumont's Affordable Housing Program are
required to go online at www.cityofbeaumont.com and review the current Program Guidelines and submit
a Receipt of Program Guidelines to the City of Beaumont by fax or email.
Administration Procedures. Mortgages provided will be conventional loan programs, FHA,Rural
Housing, or VA home loans. The direct assistance to the homebuyer will be up to $14,999 for the
purchase of an existing home(including a newly constructed home that is not associated with the City's
New Construction Program) and will be in the form of a deferred payment loan(forgivable loan). If all
program requirements have been met, the loan will be forgiven over a five-year period (the recapture
period). The maximum purchase price of the home is limited to $120,000.
Eligible properties will be single-family properties that are for sale in the City of Beaumont that meet the
City's Housing Quality Standards (HQS), as well as all applicable federal, state and local building codes,
zoning ordinances and,all other requirements. Where assistance is provided to purchase a newly
constructed home,the home must meet the current applicable codes imposed by the City of Beaumont's
Building Codes Division. A Certificate of Occupancy is required where applicable. Any and all
deficiencies noted by the City of Beaumont's Building Codes DivOon and Housing Inspector must be
corrected prior to closing.
P;r_gram Administration. The Program will be operated in accordance with all applicable rules and
regulations of the Department of Housing and Urban Development(HUD)and the City of Beaumont.
Administrative procedures used to implement the Program will be added or modified to meet any changes
made to such rules and regulations by the above entities that may occur over time. Administrative
authority for operation of the Program will rest with the City of Beaumont's Housing Services Division or
arty subsequent program administrator that may be contracted by the City of Beaumont. The Housing
Services Division will be responsible for carrying out the processing of applications for assistance,
determining eligibility of applicants for program assistance,identification of property deficiencies,
preparation of security documents and any other required forms or program records as required by HUD
and/or the City of Beaumont, and ensuring adequate marketing and public relation efforts as needed to
promote the Program.
Eligible Borrower Financing. The mortgage loans offered to the borrower must be fixed rate loans.
Balloon payments,adjustable rate loans, subordinate financing, and owner financing are not acceptable.
The City of Beaumont reserves the right to disallow certain fees and charges if it can be shown that the
leiider does not normally charge such fees in the ordinary course of business on a loan type being
originated to a similar borrower. In addition,the City of Beaumont reserves the right to deny assistance to
a buyer if in its sole discretion the mortgage product and fees indicate that the monthly payment exceeds
the buyer's ability to repay the loan or the fees charged seem excessive.
Second Loan Terms. The City shall use a five-year deferred forgivable loan note to enforce the principal
residence requirement during a five-year recapture period.The loan will be a non-recourse,no-interest,
non-amortizing forgivable loan. The loan shall also have a second lien holder position,and will allow for
recapture of the HOME assistance out of the net sales proceeds if the homeowner sells the dwelling
before the end of the recapture period. If the HOME assisted property is sold after the end of the recapture
period,no recapture provisions apply. If the net proceeds are not sufficient to recapture the prorated
HOME Investment,no recapture provisions apply,however,the homeowner will not be allowed to
recover more than the amount of the homeowner's down payment,principal payments and any capital
improvement investment.No refinancing is allowed during the second lien period and full repayment is
expected.The note will be secured by a recorded Deed of Trust.

Requirements for Mortgages accepted into the City's Down payment Assistance Program. All loans
rr,.ust be:
1. Conventional (conforming or non-conforming),Portfolio, FHA, VA or Rural Development
mortgage loan.
2. Housing Costs cannot exceed 33%of the buyer's gross income,based on the City of Beaumont
Income calculation, not the lender's calculation.
3. Originator can not charge more than 2% in upfront fees,regardless of who pays.
4. No Prepayment Penalties will be allowed.
5. All Buyers must contribute at least $500 of their own money.
6. Loan Terms must be 10 to 30 years.
7. Assets listed on Loan Application may be counted as Assets of buyer and calculated as Income
for the City of Beaumont calculation.
8. Buyers with Liquid Assets in excess of two times the amount of assistance applied for are not
eligible. This includes gifts listed as assets and will be counted as assets in income calculations.
9. The City of Beaumont will not support the subordination of a first lien during the affordability
period, except for a home improvement loan or for a loan with the primary purpose of reducing
the monthly mortgage payment. In the event of subordination,the City must be in the second lien
position.
10. The City of Beaumont will not support the subordination of the second lien during the
affordability period. The City must remain in second lien position.
11. Gift Programs in combination with our funds are allowed,proof of 501(c)3 status will be
required.
12. If Buyer is receiving assistance from more than one program,written approval from the
City of Beaumont is required.
13. Seller contribution can be up to 6%, but buyer cannot receive money back at closing.
14. The City of Beaumont does not allow the same person to act as both Real Estate Agent and
Lender in the same transaction.
15. "Homebuyer Assistance Fees"can not be charged regardless if it is considered a Lender or Real
Estate Fee.

Down Payment Assistance is available for first-time homebuyers who purchase
properties inside the Beaumont city limits.
❑ City of Beaumont Lease-Purchase Program
A Lease-Purchase option is available to first-time homebuyers who purchase
properties inside the Beaumont city limits. Homes may be leased up to 36 months
before purchase.
❑ Owner-Occupied Housing Rehabilitation Program
Owner Occupied Housing Rehabilitation Assistance is available to homeowners

For the Downpayment Assistance Program, you will need to obtain a pre-qualification
letter from your lender. For the New Housing Construction Program, assistance with the
loan process will be provided by the Community Housing Development Organization
(CHDO) developing your home.
c�R Application Fee:
There is no application fee. However, you may be charged a $100 fee by
organizations conducting Financial Literacy and Homebuyer Education Courses.
Cash will not be accepted. These course requirements do not apply to
homeowners applying for assistance from the Owner-Occupied Rehabilitation
Program.
c�R Income Calculation:
Federal regulations require all programs to look at a"snapshot" of your gross income
(net, if you are self-employed) and project it forward 12 months. You will be asked to
submit six (6)months of checking and three(3)months of savings account statements,
along with six(6) consecutive check stubs from any and all employment for each
household member, and any assistance payments such as Social Security,child support,
alimony,etc. Federal regulations require that we calculate income from your assets,
such as bank accounts, and add that to your income. After your income has been
verified,you will receive an Eligibility Certificate from the City of Beaumont.

Owner-Occupied Rehabilitation
Program Administration:
• The amount of assistance will not exceed$24,500 per residence.
• Applicant must have a current Homeowner's Insurance policy with sufficient coverage to
replace the home in case of fire.
• No construction will be authorized if all required documentation and verifications are not
up to date at the time of construction.
• As per HUD CPD Notice#91-01,repairs will be bid on by contractors that have been
approved by the City of Beaumont as having met the necessary bonding and performance
requirements.
• Alien will be placed on your property for a five-year period. The lien amount is equal
to the rehab contract amount. Assistance is provided as a deferred(forgivable) loan with
at 0%interest amortized at 20%per year. The lien is released at the end of five-years.
• The home owner is required to maintain the home as his/her principal residence for the
five-year lien period; property taxes and homeowner insurance with sufficient coverage
(at a minimum,the contract amount)must be maintained during this period; the City of
Beaumont must be shown as co-insured on the insurance policy.
Please note:
The home owner enters into a contract with the contractor,not with the City. The City will
conduct the necessary inspections and pay the contractor for repairs made as per the signed
homeowner/contractor agreement.
The contractor is required to extend a one-year warranty on all work. Any manufacturer
warranty is in addition to the contractor's warranty.
All repairs must be made within forty-five days of signing the homeowner/contractor
agreement.

RECOMMENDATION
Administration recommends approval of a resolution adopting the terms of settlement in EGSI's
application for authority to change rates and reconcile fuel costs.
BACKGROUND
On September 26, 2007, Entergy Gulf States, Inc., now Entergy Texas, Inc., filed a statement of
intent with the City of Beaumont to increase electric rates in the EGSI service area by $107.5
million per year. The City Council, on October 16, 2007, continued its original jurisdiction over
the rate increase request and suspended until September 26, 2008 the effective date of the
increase. The City of Beaumont, along with the other affected cities in the Company's service
area, have intervened and are participating in the rate review at the Public Utility Commission of
Texas. A settlement of this matter has been proposed by Entergy. The parties recommending
acceptance of the settlement included the Office of Public Counsel, Walmart, Kroger Company,
Community Association of the Woodlands, Texas Legal Service Center, Texas Rate Payers
Organization to save Energy, and the ETI Service Area Cities' Steering Committee. Those
opposed to the settlement include the PUC staff, Texas Industrial Energy Consumers and the
Office of the Attorney General.
The;proposed settlement provides for a rate increase over a two-year period. Under the terms of
the settlement, the total over-all net increase will be $12.1 million in year one and rise to
approximately $29.1 million in year two. The rate increase will be allocated to all customer
classes on an equal percentage basis. These settlement amounts are well below the $107.5
million originally requested by the Company. Also, the Company's original proposal to increase
street lighting rates by 43% is reduced to 7.18% under the proposed settlement.
BUDGETARYIMPACT
All reasonable expenses associated with rate matters will be reimbursable by the Company as
they have been in the past.

AREA CITIES IN SUPPORT OF A NON-UNANIMOUS STIPULATION
REGARDING THE RATES TO BE DETERMINED FOR ENTERGY
TEXAS, INC. IN PUBLIC UTILITY COMMISSION DOCKET NO. 34800
WHEREAS, on or about September 26, 2007 Entergy Texas, Inc. ("ETI") filed a
Statement of Intent with the City to increase electric rates in the ETI Service Area by
$107.5 million per year in addition to an expected $5 million annual increase to its
miscellaneous service schedules resulting in a $112 million increase to customers; and
WHEREAS, the City of Beaumont suspended the effective date of ETI's rates
within its jurisdictional limits until at least September 28, 2008;

other cities to review the rates, operations and services of an electric utility pursuant to
their authority under the Public Utility Regulatory Act §33.025; and
WHEREAS, Community Associations of the Woodlands, Texas ("CATW"),
Entergy Texas, Inc. ("ETI" or "the Company"), the Kroger Co. ("Kroger"), Office of
Public Utility Counsel ("OPC"), Texas Legal Service Center ("TLSC"), Texas
Ratepayers Organization to Save Energy ("Texas ROSE"), and Wal-Mart Texas Stores,
LP ("Wal-Mart") have entered into a settlement with ETI and the Entergy Service Area
Cities' Steering Committee has authorized the approval of the terms of settlement of
I:TI's rate case and recommends settlement to the Cities;
WHEREAS, the settlement represents a fair compromise between ETI's filed rate
request of$112 million and the Cities' recommended rate reduction of$6.7 million; and
WHEREAS, under the Company's request, as filed, the rate increase to customers
would have been a 7.56% increase and the settled rate increase represents a 0.87%
increase to customers during the first year beginning in October of 2008 and a 2.08%
increase to customers until the rates resulting from ETI's rate case to be filed by
December 31, 2009 become effective; and
WHEREAS, the settlement spreads the rate increase equally to all customer
classes;
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF BEAUMONT, TEXAS, THAT:
Section 1. That the statement and findings set out in the preamble to this
resolution are hereby in all things approved and adopted.
Section 2. The City of Beaumont hereby reaffirms its support for the
settlement terms in the Non-Unanimous Stipulation attached hereto as Exhibit "A."
Section 3. The meeting at which this resolution was approved was in all
things conducted in strict compliance with the Texas Open Meetings Act, Texas
Government Code; Chapter 551.
Section 4. This resolution shall become effective from and after its passage.

Committee ("Cities"), the Kroger Co. ("Kroger'), Office of Public Utility Counsel ("OPC"),
Texas Legal Service Center ("TLSC"), Texas Ratepayers Organization to Save Energy("Texas
ROSE'), and Wal-Mart Texas Stores, LP ("Wal-Mart") (collectively, "Signatories'), and any
other party that chooses to sign the Stipulation The Signatories stipulate and agree as follows:
I. BACKGROUND
1 On September 26, 2007, ETI filed an application with the Public Utility
Commission of Texas ("Commission") requesting that the Commission approve: (1) base rate

jurisdiction, of'$605 million; (2) a set of'proposed tariff'schedules presented in the Company's

Q. AGREEMENT
L Overall Base Rate Incrcase for ETI. The Signatories agree to an overall base
rate increase for ETI of$42.5 million over the present base rate revenues stated in Attachment A
commencing with bills r'ender'ed for the fast billing cycle of October 2008 and a base rate
increase of$17 million commencing with bills rendered for the first billing cycle of October
2009 Coincident with the $42.5 million base rate increase, the Signatories agree ETI shall
implement tariffs designed to retain, on a usage basis, amounts of Rough Production Cost
Equalization ("RPCE") payments to be made to ETI by Entergy Arkansas, Inc., so that the
Company retains such payments and arnortizes the regulatory liability, at a rate of$25 million
annually until the rates fiom the rate case identified in Paragraph 7 of this Section are
implemented. The Signatories further agree that this $25 million amount will serve as a credit

2. Rough Production Cost Equalization Payments. In addition to the provisions of
Paragraph 1 of this Section, ETI will retain RPCE Payments in the following manner: beginning

filing method on July 1, 2009 The Stipulating Parties agree to work in good faith with each
other-and with other interested parties, including any non-settling parties, to develop the form of
an abbreviated filing to be made by the Company with all regulatory authorities with jurisdiction

5 Purchased Power. Capacity costs associated with power purchased fiom third
parties will be treated as eligible fuel expense or PCRF expense and such purchased power,
whether treated as eligible fuel 01 PCP., ,wiii be sub,lwt to the standards set out in

R. § 25.236 or § 25.238, as applicable, in future fuel reconciliation cases, until the
implementation date of rates contemplated in Paragraph 7 of this Section.. Each Signatory shall
have the right to contest, in such future reconciliation cases, the reasonableness of'such purchase
power expenses The Signatories further reserve the right to assert all factual and legal
arguments they asserted in this docket as the basis for purchase power adjustments in these
reconciliation cases.
6 Transmission and Distribution Operation and Maintenance Project Expense.,
An annual amount of $5 million of transmission and distribution operation and maintenance
expense will be deferred by project to a regulatory asset account beginning with the
implementation date of the rates described in Paragraph 1 of this Section and ending with the
implementation date of'rates described in Paragraph 7. Recovery ofthe regulatory asset will be
included specifically in the rates described in Paragraph 7 immediately upon implementation of
those rates
7. Future Rate Case. The Company will file a rate case by December 31, 2009
based upon a test year ending.June.30,2009. Beginning with the date of implementation of rates
resulting from the 2009 rate case provided for in this paragraph, all jurisdictional separation
related MSS4 purchases will be recovered through a contemporaneous surcharge and will

become reconcilable purchased power expenses under P.U.0 SUBSI.. R. § 25 236, The
Signatories,however,make no commitment concerning the treatment of jurisdictional separation
related MSSA purchases in any subsequent rate cases The Signatories agree to: (a) further

8 Depreciation. A River Bend life extension adjustment is adopted consistent with
the regulatory treatment of the Louisiana Public Service Commission,subject to FERC approval.
Should such approval not be obtained by February 1,2009,a regulatory asset will be created that
represents a 20-year extension of the life of'River Bend The creation ofthe regulatory asset, if'
required, is intended to maintain the economic impact to all Signatories The regulatory asset
will be included specifically in the rates described in Paragraph 7 immediately upon
implementation of those rates Additionally, the Signatories agree that the depreciation
adjustment of $2..7 million will be allowed, as identified in the rebuttal testimony of Company
Witness Brian Caldwell at Exhibit BWC-R-3 on Page 27 of 28,
9, Riders. The Signatories support the following Riders:
a Both the incremental city fianchise fees currently being recovered tluough
a Rider and any prospective incremental city franchise fees will be recovered through a Rider..
Existing non-incremental city fianchise fees will be rolled into base rates and will not be stated
separately on a bill or charged separately to customers;
b An Energy Efficiency Rider, as proposed in the Company's Rebuttal

c A Rate Case Expense Rider of$5 million will be amortized over three(3)
years(i e $1 67 million per year); and
d All revenue from Riders is in addition to (i) the base rate increases
provided fbr in Paragraph i of this Section and(ii)the amount retained by the Company pursuant
to Paragraphs 1, 2 and 3 of this Section
10. Lovv-income Prograrns.
a The Miscellaneous Electric Service Charge for reconnection will remain at
$12.00 for low-income customers;
b. ETI's Public Benefit Fund will be funded at an amount not to exceed $2
million annually and such amount will be rolled into base rates. In order to include a greater
portion of the eligible population in the program, the Company will use its best efforts to
contract for and implement an automatic enrollment program. The Company's automatic
enrollment program will be modeled upon the matching procedures used by other Texas utilities
to identify eligible customers and will be implemented within 30 days of the Commission's
issuance of the final order in this case ETI will provide quarterly reports to interested parties;
and
c With regard to the Company's Energy Efficiency Rider, the Company's
low-income energy efficiency programs will be amended so as to ensure that funding is
maintained for the targeted energy efficiency program initiated in 2001 in Docket No.. 24469,
The Company will reinstate the Entergy Assist Program at a funding level of'$1..9 million,based
upon 0..12%of Texas gross revenues The Company will use its best efforts to contract with the
Texas Association of Community Action Agencies by October 1, 2008 for the administration of

14 Texas Jurisdictional Numbers. The Signatories agree that all numbers referenced
in this Stipulation are Texas jurisdictional.
III. IMPLEMENTATION OF AGREEMENT
1 Obligation to Support this Stipulation. The Signatories will support this
Stipulation before the Commission and will take reasonable steps to support Commission entry
of an order consistent with this Stipulation. The Signatories contemplate submission of an
agreed proposed order for the Commission's consideration.

2 Effect of Stipulation,
a Agreement as to the resolution of any specific issue in this Stipulation
does not mean that any Signatory or the Commission approves of any particular treatment of
costs or the underlying assumptions associated with such costs The failure to litigate any

implementing this Stipulation and other than to support the entry of such an order, all oral or
written statements made during the course of the settlement negotiations are governed by TEX.
12 EVID 408 and are inadmissible in this or any other administrative agency or .judicial
;proceeding. The obligations set forth in this subsection 2b. shall continue and be enforceable,
even if'this Stipulation is terminated as provided below.
c This Stipulation reflects a compromise, settlement and accommodation
among the Signatories, and the Signatories agree that the terms and conditions herein are
interdependent. All actions by the Signatories contemplated or required by this Stipulation are

conditioned upon entry by the Commission of a final and appealable order fully consistent with
Us Stipulation. If'the Commission does not accept this Stipulation as presented or enters an
order inconsistent with any term of this Stipulation, any Signatory shall be released from all
