HomeMy WebLinkAboutRES 92-008 6 - 9Q - RESOLUTION BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF BEAUMONT: THAT the City Manager be and he is hereby authorized to execute an amendment to the lease agreement with the Beaumont Art Museum for the Art Museum of Southeast Texas substantially in the form attached hereto as Exhibit "A." PASSED BY THE CITY COUNCIL of the City of Beaumont this the day of , 1992. - Mayor - - - '_ �- 71-21 br STATE OF TEXAS § COUNTY OF JEFFERSON § AMENDMENT TO LEASE - WHEREAS, on the 30th day of December, 1986, the City of Beaumont, a municipal corporation of the State of Texas, hereinafter referred to as "Landlord," whose mailing address is P. O. Box 3827, Beaumont, Texas, 77704, and Beaumont Art Museum, a Texas non-profit corporation, hereinafter referred to as "Tenant," whose mailing address is 500 Main Street, Beaumont, Texas, 77701, entered into a lease on property described in Exhibit "A' attached hereto and made a part hereof for all purposes; and WHEREAS, that lease in Article 5 provided that during the fifth year of the term of said lease the parties were to revise the monthly payments under said lease for the sixth through the tenth years of said lease by written agreement; and WHEREAS, insurance provisions need to be amended and a maintenance provision should be added; NOW, THEREFORE, in accordance with said provision, the parties, Landlord and Tenant, agree as follows: L Article 5, Section 5.2, of the lease agreement herein described between Landlord and Tenant is hereby amended to read as follows: So long as Tenant operates an art museum upon the leased premises open to the public, during the term of this lease, Landlord agrees to EXHIBIT "All i pay to Tenant the sum of Thirteen Thousand Seven Hundred Fifty Dollars ($13,750) per month commencing on the 1st day of January, 1992. Article 10.1 of the lease agreement herein described between the Landlord and Tenant is hereby amended to read as follows: "Article 10 - Insurance 1110.1 Landlord shall include the leased premises as a covered premises under its policy of property insurance as said coverage shall exist for other city properties. Tenant understands that such insurance contains a deductible provision and that the coverages and amounts of such deductibles may change from time to time. Tenant and Landlord shall receive the proceeds of such policy of insurance in accordance with Paragraph 9 hereof. Landlord shall have the option to cover losses under such policy of property insurance which fall under the deductible amounts of such policy." III. There is hereby added to the lease agreement herein described between Landlord and-Tenant a new Article 18 to read as follows: "Article 18 -'Maintenance "During the term of this lease agreement Tenant shall be responsible for all maintenance, both building and grounds, of the leased premises. In consideration for such building and grounds maintenance, Landlord hereby agrees to make a one-time payment of$18,750, the receipt and sufficiency of which is hereby acknowledged by the Tenant." IN WITNESS WHEREOF, Landlord and Tenant have executed or caused to be executed by their duly authorized officers or agents this lease amendment and by execution - 2 - hereof hereby republish and affirm the provisions of the lease agreement between the parties described herein.
