This LEASE CONTRACT by and between THE CITY OF BEAUMONT, a municipal
corporation domiciled in Jefferson County, Texas, hereinafter called CITY, and THE YOUNG
MEN'S BUSINESS LEAGUE OF BEAUMONT, TEXAS, a private corporation duly incorporated
under the laws of the State of Texas with its principal :office in Beaumont, Jefferson County,
Texas, hereinafter called YMBL, witnesseth:
CITY does by these presents lease, let and demise unto YMBL that certain building
known as the YMBL Building at Fair Park, Beaumont, Jefferson County, Texas containing
approximately 4400 square feet (herein called the "Leased Premises„). This lease is for a term
Of five (5) years, commencing on the first day of April, 1991, and ending on the 31st day of
March, 1996, inclusive, upon the following conditions and covenants:
1. YMBL shall pay to CITY, as rental for the leased premises $400 per month, in advance
on or before the first day of each month, a total of Twenty-Four Thousand Dollars
($24,000) over the term of the lease.
2. The leased premises shall not be assigned or sublet by YMBL without the consent of
CITY in writing.
3. Should YMBL's right to occupy the leased premises be terminated for any reason other
than violation of the terms of this lease or any renewal thereof before March 31, 2001,
YMBL shall be given a credit against required payments to CITY under the contract for
use of Fair Park for the South Texas State Fair. Such credit shall be equal to 1/20th
of the value of the YMBL improvements to the leased premises, multiplied by the years
or major portions thereof between such termination date and March 31, 2001.
4. Subject to the credit provided in Paragraph 3 hereof YMBL, at the expiration of this
lease or any renewal thereof, agrees to quit and surrender the said premises in as good
condition as the reasonable use and wear thereof will permit, and shall remove
therefrom any and all personal property belonging to YMBL.
5. YMBL shall have installed, at its sole expense, a separate electric meter for metering use
of electricity on the leased premises. YMBL shall be responsible for all charges for
water, gas, telephone, and electricity used upon the leased premises. YMBL shall be
responsible to keep said building in good repair at all times, including air conditioning
and heating systems, lighting, electrical and plumbing systems, roof, walls, doors, and
windows. YMBL will be responsible for all janitorial services on the leased premises.
CITY will not be responsible for any cost or expense associated with the leased
premises.
6. If said building and premises shall, during the term of this lease, be slightly damaged

by fire or other cause or causes, same shall be repaired within a reasonable time by
CITY. But if said building and premises be so damaged by fire or other cause as to
require same to be substantially rebuilt, or be so damaged as to render said premises
unfit for occupancy, then at the option of CITY either the terms of this lease shall cease
and be void and rent hereunder shall be paid only to the date of such damage or
premises may be rebuilt with rental to be paid as agreed upon by both parties.
7. YMBL covenants and agrees to indemnify, save and keep harmless CITY, against all
liability, claims, judgments, damages, costs and expenses, or injuries to persons or
property arising out of or incident to the occupancy of the premises by YMBL during
the term of this lease, including such claims, judgements, damages, and costs as are
the result of CITY's own negligence, and YMBL agrees to indemnify CITY against any
and all court costs, attorney's fees, and any other expense in connection with suits for
such damage or injuries.
8. The violation by YMBL of any of the terms or conditions of this lease contract shall give
CITY the right at its option to cancel said lease contract.
IN WITNESS WHEREOF, the parties hereto have executed this lease agreement in
multiple originals the day of April, 1991.
