WHEREAS, an agreement has been negotiated for the acquisition of property
described as Beaumont Addition, Lots 315 and 316, Block 49 and the northwest 40 feet of
Lots 305 through 309, Block 49, as shown on Exhibit "A" attached hereto from Jefferson
County in exchange for the City's conveyance of its interest in the former BISD Administration
Building property;
NOW, THEREFORE, BE IT RESOLVED BY THE
CITY COUNCIL OF THE CITY OF BEAUMONT.-
THAT the acquisition of property described as Beaumont Addition, Lots 315 and 316, Block
49 and the northwest 40 feet of Lots 305 through 309, Block 49 as shown on Exhibit "A"
attached hereto, be accepted by the City of Beaumont.
BE IT FURTHER RESOLVED, that the City Manager be, and he is hereby, authorized to
execute the instruments of conveyance to Jefferson County.

No. Forty-Nine (49), Original Town of Beaumont, Noah Tevis Survey, Abstract No. 52,
Beaumont, Jefferson County,Texas.
RESERVATIONS FROM AND EXCEPTIONS TO CONVEYANCE AND WARRANTY:
This conveyance and the following warranty are made expressly SUBJECT TO any
and all restrictions, covenants, conditions, easements rights-of-way, leases and mineral
and/or royalty reservations of record, if any, affecting t�is Property.
Grantor, for the consideration and subject to the reservations from and exceptions to
conveyance and warranty, grants, sells, and conveys to Grantee the Property,together with
all and singular the rights and appurtenances thereto in any wise belonging,to have and to
hold unto Grantee, Grantee's successors and assigns forever. GrantoAinds Grantor and
Grantor's successors and assigns, to warrant and forever defend all and singular the
Property to Grantee and Grantee's successors and assigns against every person
whomsoever lawfully claiming or to claim the same or any part hereof, by, through, or
under Grantor, but not otherwise, except as to the reservations from and exceptions to the
conveyance and warranty. Grantor further reserves unto itself any and all oil, gas, mineral
or other interests of value laying under the land.
Grantor makes this conveyance, and Grantee accepts this conveyance, upon and
subject to the following terms and conditions:
GRANTEE ACKNOWLEDGES AND AGREES, BY GRANTEE'S ACCEPTANCE
HEREOF, THAT THE PROPERTY IS CONVEYED "AS IS, WHERE IS" AND
IN ITS PRESENT CONDITION WITH ALL FAULTS, AND THAT GRANTOR
HAS NOT MADE AND DOES NOT HEREBY MAKE ANY
REPRESENTATIONS, WARRANTIES, PROMISES, COVENANTS
AGREEMENTS OR GUARANTIES OF ANY KIND OR CHARACTER
WHATSOEVER, WHETHER STATUTORY, EXPRESS OR IMPLIED, WITH
RESPECT TO THE QUALITY OR CONDITION OF THE PROPERTY, THE
INCOME TO BE DERIVED THEREFROM, THE SUITABILITY OF THE
PROPERTY FOR ANY AND ALL ACTIVITIES AND USES WHICH GRANTEE
MAY CONDUCT THEREON, COMPLIANCE BY THE PROPERTY WITH ANY
LAWS, ..RULES, ORDINANCES OR REGULATIONS OF ANY APPLICABLE
GOVERNMENTAL AUTHORITY, HABITABILITY, MERCHANTABILITY OR
FITNESS FOR A PARTICULAR PURPOSE OF THE PROPERTY, OR
OTHERWISE WITH RESPECT TO THE PROPERTY.
