W-Wf.3 BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF BEAUMONT: THAT the City Manager be and he is hereby authorized to execute a one-year contract with the Texas Energy Museum substantially in the form attached hereto. PASSED BY THE CITY COUNCIL of the City of Beaumont this the _'FZ4 day of S2ZZc4 , 1999. r - Mayor - STATE OF TEXAS § COUNTY OF JEFFERSON § This agreement, executed in duplicate originals, is made and entered into by and between the City of Beaumont, Texas, a municipal corporation of the State of Texas, hereinafter called "City," acting herein by and through its City Manager, and the Texas Energy Museum, Inc., a non-profit corporation, hereinafter called "TEM," acting herein by and through its President. 1. The City does hereby agree to pay TEM Ninety-Thousand ($90,000) Dollars for operational costs for a period of October 1, 1999 to September 30, 2000. A payment of Twenty-Two Thousand Five-Hundred ($22,500) each quarter will be made by the City to TEM commencing October 1, 1999. II. TEM agrees to operate the museum for the benefit of the citizens of Beaumont and other public visitors. TEM hereby agrees to make quarterly reports to the City, said reports to detail the activities and successes in the operational functions of the museum and are due on the 15th of the month following the end of the quarter. Ill. This agreement certifies that TEM is an independent contractor and is not an agent of the City. Iv. TEM agrees to indemnify, save harmless, and defend the City of Beaumont from any and all claims, causes of action and damages of every kind arising from the operations of TEM, its officers, agents and employees, including the officers, agents, and employees involved in museum operation and specifically including herein any and all acts of negligence by the City of Beaumont, its agents, officers or employees, carried out under the terms of this agreement.
