BE IT RESOLVED BY THE CITY COUNCIL
OF THE CITY OF BEAUMONT:
THAT the City Manager is hereby authorized to execute a three (3)- year contract with
Southwestern Bell for the right to install and maintain public pay telephones on real
property owned by the City, including buildings and other structures. The contract is
substantially in the form attached hereto as Exhibit "A".

SOUTHWESTERN BELL
PAY PHONE SERVICE AGREEMENT
This contract sets forth the agreement of the parties under which Southwestern Bell Telephone Company("SWB")will provide pay phone
°rvice at the Customer locations specified herein.
1. Scope. Subject to the provision hereof, SWB will have the right to install, operate and maintain pay phones and associated
equipment,including any pedestals,enclosures,signage,wiring and conduit(collectively"pay phones and equipment"),at Customer locations
listed in Attachment A,which is incorporated herein by reference,and at future Customer locations as agreed to by SWB. Furthermore,during
the term of the agreement, SWB will have the authority to act as Customer's agent to establish and/or remove pay phone service,and to
otherwise manage the pay phone service at all such locations. The term"location" as used herein means all of the real property(including
buildings and other structures)associated with and/or designated by a given street address,unless otherwise specified herein.
2. Term of the Contract. This agreement will be in effect for an initial period of three(3)years, effective on
Thereafter,the agreement will automatically renew for successive one(1)year terms,unless either party notifies the other in writing at least
sixty(60)days prior to the end of the initial or a subsequent term. The foregoing notwithstanding, SWB reserves the right to remove the pay
phones at any time without liability or penalty due to breach of the agreement,repeated theft,vandalism,or fraudulent or insufficient usage.
3. Right to Contract. Customer warrants that Customer has the authority to enter into this agreement, that Customer has the right to use
the location and space where the pay phones and equipment are to be located for the term of the agreement,and that Customer does not have
any other agreement,oral or written,that conflicts with this agreement. If Customer allows another party to install one or more pay phones
at the same location where one(1)or more SWB pay phones are installed,then SWB may remove its pay phones and equipment without
liability or penalty.
4. Commission Payments. For so long as Customer complies with the terms and conditions of this agreement,SWB will pay Customer
the compensation described in the attached Commission Schedule,which is incorporated herein by reference. Customer and SWB agree that
all information regarding usage at, and revenues received from the pay phones and commissions paid to the Customer, is confidential and
proprietary,and will not be provided to any the person or entity,except as required by law.
5. Use of Pay Phones. The pay phones are installed for use by the public in making outgoing calls. Customer agrees to subscribe to other
-phone services as necessary for the operation of Customer's business,and agrees not to advertise the pay phone numbers,or use the pay
ycrones to receive incoming calls.
6. Ownership of Pay Phone Eguuipment. The pay phones and equipment installed by SWB will remain the property of SWB. SWB's
employees and agents will have the right to enter Customer's premises at reasonable hours to install,inspect,maintain and/or repair the pay
phones and equipment, to make collections, and to remove the pay phones and equipment upon termination of service. SWB will bear the
costs of installation and maintenance. Once installed,no pay phone will be moved or removed from its original position absent the mutual
written consent of the parties. No advertisement or attachment of any type not authorized by SWB and Customer will be affixed to,or used
on,or in connection with,the pay phones or equipment.
7. Customer Premises. Except as otherwise provided herein, Customer retains control of all premised where pay phones are located.
Customer will provide a suitable space for the pay phones and equipment,with convenient access. Customer will take all reasonable steps
to prevent damage,vandalism, theft or hazardous conditions,and will promptly report all such conditions and any service failures to SWB.
SWB will bear the expense of removal of its pay phones and equipment,except that Customer,in addition to any other obligation imposed
by this agreement, will reimburse SWB for its engineering, construction, and related costs of installing and removing a pay phone and
associated equipment,if a pay phone is removed at the sole request or demand of Customer within one(1)year after its installation. Upon
expiration of this agreement,SWB will have thirty(30)days to remove its pay phones and equipment. Upon such removal,Customer will
have the sole responsibility to maintain Customer's location(s)in a safe condition. SWB will not be liable for vandalism, or for incidental
damage to Customer locations caused by reasonable installation or removal activities (e.g., holes in wall necessary to attach pay phones).
SWB shall be responsible for pay phones complying with the American With Disabilities Act of 1990 and any revisions or amendments
thereof,provided that, the provision of Telecommunications Devices for the Deaf(TDD)shall be the responsibility of the Customer.
8. LIABILITY. SWB WILL PROVIDE PAY PHONE SERVICE PURSUANT TO ITS TARIFFS,INCLUDING THE LIMITS OF
LIABILITY CONTAINED THEREIN,AND ANY APPLICABLE LOCAL,STATE,AND FEDERAL REGULATIONS.CUSTOME R
AGREES THAT IN NO EVENT WILL SWB BE LIABLE FOR INTERRUPTION OF SERVICE OR ANY PUNITIVE,
YEMPLARY,SPECIAL,OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER RESULTING THEREFROM,
CLUDING LOST STATION REVENUES. AS TO ALL THIRD PARTY CLAIMS,SWB AND CUST OMER WILL EACH BE
RESPONSIBLE FOR ITS OWN NEGLIGENT ACTS AND INTENTIONAL CONDUCT.
9. Assignment. This agreement mdy be-transferred or assigned by SWB, without consent, to any present or future affiliate of SWB.
Customer will obtain SWB's prior written consent to transfer or assign this agreement, which consent will not be reasonably withheld,

provided that Customer's transferee or assignee shall first agree with SWB to be bound by the terms and conditions of the agreement.
10. Carrier Selection. SWB will have the right to select and contract with,change,and/or restrict the local, intraLATA and interLATA
carriers for all pay phones covered by this agreement. Customer represents that no other party possesses a right to provide pay phone services
•1 at is in conflict with this provision.
11. Notices. Customer and SWB will send al 1 notices by prepaid certified U.S.mail or overnight delivery service,return receipt requested,
to the respective addresses set forth herein.
12. Sale or Transfer of Control of Customer Locations. If, during the term of this agreement, Customer sells or otherwise transfers
ownership or control of property where pay phones covered by the agreement are located, Customer agrees to make its best effort to provide
SWB sixty(60)days notice prior to such sale or other transfer of control,and to provide the name,address and business telephone number
of the prospective buyer/transferee. Customer further agrees to provide,upon request by SWB, a copy of the sales/transfer agreement by
which the property or control thereof was conveyed,or such other documentation as is sufficient to verify the sale/transfer.
13. Public Nuisance/I3usiness Closure. If,during the life of this agreement,SWB removes its pay phones and equipment from any location
at the request of Customer due to reasons of business closure,or SWB removes said pay phones and equipment at the request of the Customer,
or as required by local ordinance due to public nuisance,and then,during the remaining term of the agreement, another business opens at the
same location in which business Customer has any ownership or financial interest,or said public nuisance is abated,SWB may reinstall its
pay phones and equipment for the balance of the agreement. In any case,in the event SWB's pay phones and equipment are removed for
any of the reasons stated in this provision, Customer will not allow any pay phones other than SWB's to be installed at the Customer
location(s)in question for the balance of the agreement.
14. Choice of Law. This agreement is governed by the laws of the state of Texas.
15. Attorney Fees, If either parry must file suit to enforce this agreement,the losing party will pay the reasonable attorney fees and costs
of suit of the prevailing party.
16. Entire Agreement. This agreement sets forth the entire understanding of the parties, and supersedes all prior agreements between the
parties,whether written or oral. Any amendment to the agreement must be in writing and signed by both parties. Waiver by a party of any
fault by the other party will not be deemed a waiver of any other default. If any provision of this agreement is determined to be invalid
y a court of law,it will not render the balance of the agreement unenforceable. Instead,the remainder of the agreement will be construed
and enforced as if the invalid provisions did not exist. However,in the event such invalid provision is an essential element of the contract,
the absence of which would substantially impair the rights of either party,the parties will promptly negotiate a replacement provision or
provisions. If impasse is reached,either party will have the right to terminate the agreement upon thirty(30)days written notice to the other
party.
The terms and conditions set forth above are agreed to, accepted,and approved by the parties.
