HomeMy WebLinkAboutRES 23-176RESOLUTION NO. 23-176 BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF BEAUMONT: WHEREAS, on May 9, 2023, the City Council of the City of Beaumont, Texas passed Resolution No. 123-128 awarding a contract in the amount of $291,408.49 to Preferred Facilities Group- USA, of Beaumont, Texas, for the Art Museum of Southeast Texas Roof Replacement Project located at 500 Main Street; and, WHEREAS, Change Order No. 1, in the amount of $199,860,10, to consists of the removal and disposal of the existing roof membrane and associated taper insulation, thereby increasing the total contract amount to $491,268,59; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF BEAUMONT: THAT the statements and findings set out in the preamble to this resolution are hereby, in all things, approved and adopted; and, THAT the City Manager be and he is hereby authorized to execute Change Order No. 1, in the amount of $199,860.10 for additional work described above, thereby increasing the total contract amount to $491,268.59 for the Art Museum of Southeast Texas Roof Replacement Project located at 500 Main Street; and, The meeting at which this resolution was approved was in all things conducted in strict compliance with the Texas Open Meetings Act, Texas Government Code, Chapter 551. Y N w AGREEMENT THIS AGREEMENT made this 28th day of June in the year 2023, by and between The City of Beaumont, a legal entity organized and existing in the State of Texas, hereinafter designated as the Owner, and Prefer red Facilities Gmu p - USA hereinafter designated as the CONTRACTOR. The Owner and the Contractor, in consideration ofthe mutual covenants hereinafter set forth, are a follows: ARTICLE 1. THE WORK, The Contractor shall complete the Work as specified or indicated under the Bid Schedule of the Owner's Contract DocLiments entitled: Contract for the Replaced of Roof System at the Art Musetim of Southeast Texas Located at 500 Main Street, Beaumont, Texas 77701 The Work is generally described as: Construct to install a recovery roof system over the existing roof system with 80 mil fleece -back fully adhered system over %-incur Dens ecl mechanically attached. The scope of woi-k shall consist of the following: Installation of 1/2-inch Bens DeckDeck§ or secure rock over the entire roof sufface. Mechanically attached with three-inch disc and No. 14 heavy -dirty fastener's to Texas Windstoi-in Code for perimeter edge, coiner, and field fastening patter*n. Install 80 mil. fleece back full adhered with DurolastO C 20 water -based adhesive applied to Dens Declig. Roll membrane into vet adhesive and roll over entire surface fol. px#oper adhesion. Weld all overlap scams. Install new pre -molded pipe boots, welded to roof surface. Install stainless banding clamp and sealant. • Install new pitch pans out of PVC clad metal, gelded to roof sufface. Fill pitch pall with pitch pail fillet% Install wall flashing at all wall locations fully adhered tip wall. Install termination bar- with fasteners every six 'Inche . Caulk fop of bar and reinstall copper* cover plate. Install new drain flashing oi• Dumlast r*etr-ofit, welded to roof with compression rings. At box vents, install crab flashing up and over to inside vent and reinstall curb at top and install fasteners. • Install two --piece copper~ flashing around all perimeter edge. TIME of COMMENCEMENT of COMIPLETION The Work to be performed under this Contract shall be commenced on the date specified by the Owner in the Notice to proceed and the Work shall be filly completed in 30 working days from the Notice to Proceed date. The Owner and the Contractor recognize that time is of the essence of this Agreement and that the Owner will suffer financial loss if the Work is not completed within the time specified in this Article 2, herein, plus any extensions thereofallowed in accordance with Article 3 of the n tru tion to Bidders. They also recognize the delays, expense, and difficulties involved in proving in a legal proceeding the actual loss suffered by the Owner if the Work is not completed on time. Accordingly, instead of'requiring any such proof, the Owner and the Contractor agree that as liquidated damages for delay but not as a penalty the Contractor shall pay the Owner the sum of $0.00 for each calendar day that expires after the time speelfied in this ,Art'ele 2, herein. ARTICLE 3. CONTRACT PRICE The Owner shall pay the Contractor for the completion of the Work In accordance with the Contract Documents in current funds the Contract Price s named in theContractor's Bid and/or Bid Schedules . The contract Bid Price is $291,408.49 (Base bid $284,300.97 + Perfol-mance and Payment t boild $79107,52) ARTICLE . THE CONTRACT DOCUMENTS S The Contract Documents consist of: Scope of Work, Agreement, Performance Bond, Payment Bond, d ouse B il11295, House B i 118 9, Confl1et of Interest Questionnaire, Statement of Conflict of Interest, General Summary of the Work, inclusive, and all Change Orders and Work Directive Changes which may e issued subsequent to the Effective ]date of the Agreement and are not attached hereto. Documents which will become part of these Contract Documents subsequent to Award consist of: Notice of Award, Certificates of Insurance, Evidence of Workers Compensation coverage, Surety's Powers of Attorney to accompany the executed Performance and Payment Bonds) and Notice to Proceed. ARTICLES. PAYMENT PROCEDURE, S Payment will he made in accordance with the General Bid Information Section of'the General Conditions of the Contract Documents. ARTICLE . NOTICES Whenever any provision of the Contract Documents requires the giving of written Notice, it shall be deemed to have been validly given if del ivered in person to the individual or to a member of the firill or t n officer of the corporation for whom it is intended, or if delivered at or sent by registered or certified mail, postage prepaid, to the last business address known to the giver of the Notice. ARTICLE 7, MISCELLANEOUS Terms used in this Agreement which are defined in Article I of the General Conditions and Supplementary General Conditions will have the meanings indicated in said General Conditions and Stipples entary General Conditions. No assignment by a party hereto of any rights tinder{ or interests in the Contract Documents will be binding on another parity hereto without the written consent of the party sought to be bound; and speeifieally but without I i in itat ion in onles that may become due and monies that are due in ay not be assigned without such consent (except to the extent that the effect of this restriction may be limited by law), and unless specifically stated to the contrary in any written consent to an assignment no assignment will release or discharge the assignor from any duty or responsibility under the Contract Documents.
