BE 1T RESOLVED BY THE CITY COUNCIL OF THE
CITY OF BEAUMONT:
THAT the City Council hereby approves the purchase of two added modules to the
software solution for the city council video management (Swagit) from Rock Solid, Inc
of, Dallas, TX in the amount of 49,321.00.
BE IT FURTHER RESOLVED THAT the City Manager be and he is hereby authorized
to execute payment in the amount of $49,321,00.
The meeting at which this resolution was approved was in all things conducted in
strict compliance with the Texas Open Meetings Act, Texas Government Code, Chapter
551.

FIRST AMENDMENT TO AGREEMENT FOR VIDEO STREAMING SERVICES
This First Amendment to Agreement for Video Streaming Services ("Amendment") is entered as of 30
Day September, 2022 (the "Effective Date"), by and between Swagit Productions LLC, a wholly owned
subsidiary of Rock Solid Technology, Inc. (hereinafter referred to as "Provider") and the City of
Beaumont, a Texas municipal corporation, (hereinafter referred to as "City"), and hereinafter
collectively referred to as the "Parties").
WHEREAS, Provider and City are parties to a certain Agreement for Video Streaming Services
dated 11 Day February, 2015 (the "Agreement"); and
WHEREAS, the Parties desire to amend the Agreement in accordance with the terms and
conditions set forth this Amendment.
NOW, THEREFORE, the Parties hereby agree to amend the Agreement as follows:
1. EXHIBIT A. ADDITIONAL PRODUCT(S): Schedule A contained herein is hereby added into and
incorporated into Exhibit A of the Agreement in addition to the existing products and pricing
listed on Exhibit A of the Agreement. The fees for Annual Costs as laid out on Schedule A herein
are due 30 days from the Effective Date of this Amendment and shall be prorated to cover
service from the Effective Date of this Amendment through 10 Day February, 2023. Beyond this
10 Day of February, 2023 the fees for the Annual Costs as laid out on Schedule A herein shall be
invoiced alongside the fees covered in the Agreement and accordance with the Terms and
Conditions laid out in the Agreement. The fees for the One Time Costs as laid out on Schedule
A herein shall be due and payable upon Provider's delivery of said One Time Cost solutions and
City's Acceptance thereof.

OTHER TERMS OF THE CONTRACT: The Parties agree that all other terms, conditions and obligations
of the Agreement remain in effect throughout the term of the Agreement except for those provisions of
the Agreement that are directly contradicted by this Amendment, in which event the terms of this
Amendment shall control.
BINDING EFFECT: The covenants and conditions contained in this Amendment shall apply to and bind
the parties and the heirs, legal representatives, successors and permitted assigns of the Parties.
