Be it, ordained by the City Commission of 'The City of-. Beaumont: Section 1. That,the City Commission of.The City of Beaumont does hereby in ,all' things ratify and confirm, as the contract of The City of Beaumont; legally held and bound thereby with the other . contracting ,party, that certain contract made and entered into. by and between The .City of Beaumont.- acting,in the execution of -'said-contract by --and. through 'i-ts-May'or; 'B-. g Steinhagen,- by - virtue of. that certain resolution duly passed by the City Commission on January 31st,'1.924,•'as recommended by resolution of the City Council of The City of Beaumont duly passed on January.31st, 1924, authorizing and directing him, the Mayor, to.negotiate and oxec'ute"the same - and the Texas & New Orleans Railroad Comp Y. dated the 6th day, of 'Ylarch.,. 19 4', :zrhich said contract reads''as follows,. to -wit: T- THE S TATE, OF ' TEAS ) COUNTY OF JEFFERSON ) "I HDiREAS the maintenance of the lines and tracks of the Texas &- New' Orleans Railroad Company and the operation of _- trains and locomotives: thereupon and thereover at grade over and across'.MarOrleans, Crockett, Pearl, Main, Travis and Cypress Streets, in The City of Beaumont, with approximately half of the business section and population on one side and half. on the other, side; and 'with the main fire department head- quarters .and main fire -fighting apparatus on ohe side thereof; and over 'and along which tracks Said railroad company operates -an, approximate average of twenty-five trains, cars and loco- motives p•er twenty='four hour day, and across which lines and tracks an; approximate average of eight thousand automobiles, eight hundred horse-drawn vehicles, thirty-five thousand pedestrians, twelve, hundred bicycles and Imotorcycles and one thousand,txolley cars pass over said Pearl Street alone every twbnty"four hour day throughout the year, to, say nothing of the traffic in- and upon :the other streets above named, and such* r , traffic constantly increasing,,constitute a condition recognized by all -concerned asa constant, continuing.and increasing danger to life, limb and property, 'and in addition thereto a deplorable obstruction to traffic and the free passage of the population along said streets, retarding the proper normal growth and ex- pansion of the city., and causing -enormous economic loss -and waste to the railroad itself as well as the general public; and, "`VHEREAS the public safety and convenience and public ' economy require. and, demand that, the city open up and improve or cause to be opened up,.and-improved said streets at said crossings and free the same of said conditions; and, "WHEREAS, after prolonged conferences and hearings between city officials and railroad officials with the view and purpose of joining together,. to abate said -'conditions, for the benefit of both'parties-.and the. general.public, upon a proper division of cost, the railroad, to bear all the cost and expense of the undertaking that would. not fairly and necessarily. fall upon the city.for_the opening up,and.impro4ing of said streets at said crossings and the indirect expenses necessarily incident there- to,, said parties have -reached an agreement upon all points; "NOW, THEREFORE, .this memorandum of' agreement made and entered into by and between The City of Beaumont, acting herein by and through its Mayor, B.'A. Steinhagen, du ly authorized so to act, by resolution of. the City Commission of such city. duly passed on January 31st,'1924,'hereinafter called the city, and the Texas-& New Orleans Railroad Company, acting herein by and through its President, W. R:: Scott, duly authorized so to act, hereinafter called..,the. railroad, witnesseth: "FIRST: - Both 'the' parties have adopted and do hereby -adopt what is known and called the Ash Plan, on file in the City Clerk's office in the City of Beaumont, officially 'marked "Ash Plan". being the plan finally agre'edd upon by. L'. R. Ash and the Engineers of the Railroad Comp.any.and the specifications in connection therewith, for.�the correction and abatement of the grade crossing conditions in the City of Beaumont byvirtue of the. location of the lines and tracks of the railroad over Mariposa, Orleans,. Crockett;, Pearl, Main, Travis and Cypress'Streets, and the operation of`trains and locomotives over said lines and tracks, and as being..the most feasible and practical plan for the purpose, and as representing (with the modification following) the minimum that can be done for'the correction and abatement of said condi- tion but as sufficient,for the purpose; but it is also understood and agreed that the two viaducts, one spanning the railroad's yards at Magnolia Avenue and the.other spanning the railroad's tracks at Mariposa -Street embraced in said plan and specifications, shall ,be eliminated therefrom, and in the place of both of said viaducts there is hereby adopted and this contract shall apply to and cover the viaduct covered by.that certain contract between the parties hereto of date the 3rd day of October; 1923, said latter viaduct to be built in accordance with the plans aril specifications covered by said latter contract; and it is further understood and agreed that the structure East of the West bank of the Neches River shall be eliminated insofar as the cost thereof is concerned, it being understood that the city shall bear no part of the cost of said structure East of the West bank of said Neches River. "SECOND: The railroad promises and agrees and binds an& obligates itself to construct, for itself and the city (or acting with the city to cause'to be constructed), within the specified period of. eighteen (18) months from January 26th, 1924, prevention so to do by causes beyond its control only excepted, the elevated structure contemplated and called for in said Ash Plan and the specifications in connection therewith (with the elimination there- from of the aforesaid two viaducts and.the substitution of the other 2. Mariposa viaduct as above provided), with such features of ornamentation and architectural beauty and sightliness as the necessities 'of the case and the prominent location of the structure may require, and to do and to.perform al l'other matters and things called for'in said plan and specifications and all other acts and things incident to and required by said plan and specifications, all of said.work to be done under the supervision of the engineering representatives of the Railroad Company, but. in strict accordance with detail plans approved by the City's Engineer; and the cost.of said undertaking shall be borne by, the parties upon the basis of division hereinafter provided, the railroad to advance all the money necessary for the completion of the entire undertaking, the .city to repay its portion so advanced (.with interest thereon at the rate of six per centum per annum from dates of payment by the railroad com any) to the railroad on completion of the.-vPork, or in ten (10 ',equal annual instalments, if preferred and requested by the city, and if in deferred payments, the same to be evidenced by notes.or warrants duly issued.and executed by the city, bearing six per cent interest.per annum from dates of payment by the Railroad Company, as'in the case of any other street improvement or public 'improvement. "THIRD: It is estimated by the parties hereto. that the items of -cost of this entire undertaking will be approximately as follows: "(a) The .Ash Plan complete, as herein.modified, 'hest of the Nest bank of the Neches River, save and except the items described in sub -paragraphs (b) , . (c )- , '(d) and (e) following, 992,300.00. "(b) The Idariposa viaduct..above mentioned completed and all necessary incidental costs in connection therewith, 135,000.00. "(c) Resurfacing,stre;ets-and street approaches made necessary to be. resurfaced by.,reason of, the improvements contemplated here- in and in said Ash Plan and sP'e'cifications$ X20,000.00. "C 'Cost of acquiring all additional rights of way for commercial tracks made.necessary under said Ash Plan and specifica- tions, $10,000.00.: "(e) Damages, if any,.to,abutting property that may arise by reason of the construction of the elevated structure to be built under this contract, and the depression of said streets, contemplated and called for in said Ash Plan and specifications, $15,000,00. "It is estimated and agreed that that part of the cost of the whole work.herein provided for which the city may lawfully bear, including everything West of the West bank of the Neches River contemplated by said Ash Plan and specifications, as modi- fied herein, and including items (a) , (b) , (c) , (d). and (e) herein- before set out,...is not less than thirty per cent of the total cost of -the whole work:. "Therefore, the,city hereby obligates -itself to pay that part of the cost of said items which it -may legally participate in pay- ing in,the amounts and upon the basis hereinafter set forth. "While it is impossible, in advance, to determine accurately and with definiteness -the whole -cost of said undertaking, item by item or otherwise, or the city's portion thereof as represented by the above items, it is nevertheless expressly understood and agreed that in no event and under no circumstances, except on the 3. t. --O Mk contingencies hereinafter expressly provided, shall the city be bound to or called upon to pay more than nineteen and. three hundred and seventy-two thousandths ,per cent (,194372%) of the entire cost of, said undertaking, the city, however, undertaking to pay said nineteen and three hundred and seventy-two thousandths per. cent (19.3720) thereof and.the railroad hereby undertaking to pay, subject to the following contingencies, all the'.balance of, the,cost of said undertaking over and above said nineteen and three hundred and seventy-two thousandths per cent•(19.372'%) thereof; it being further understood and agreed that. in all events whatever amount in money, labor or property contributed to said undertaking by the Eastern Texas Electrid•Company shall.be credited.to and'to that extent reduce the city's portion of said cost and expense. 71(1) In the event that the cost of item (a) hereinbefore set out shall exceed the sum of $992,300.00, all of the excess over and above such sum shall be borne and paid by the parties hereto in the' -following proportions; to -wit: thirty per cent (30%) of such excess shall be borne and, paid .by The City of Beaumont and seventy per cent (70%) of such excess -shall be borne and, paid by, the Railroad Company.. "(2) In'the event that the cost of item (b) hereinbefore set out shall exceed the sum of ,`1351000.00, 'all of the excess over and above.such sum shall be borne and paid by the parties hereto in the following proportions, to -tit: Thirty per cent ( 30%) of such excess shall be borne and paid by The City of Beaumont and seventy per cent•, (70 0) .of such excess shall be borne and paid by the Railroad,Company. "(3) If the amounts paid, -for property damage and, 'for rights of way and for resurfacing streets and street approaches, made nebessary by the Ash Plan, as herein modified, shall exceed the amounts above estimated for .said items in sub -paragraphs (c), (d) and (e) hereof, then the amount.of such additional cost shall be. added to the 'amount. to be paid by the' city under the terms of this agreement, provided, however, that the total amount to be paid- by the city under this agreement, and which it hereby obligates itself to pay, shall,in no event exceed thirty•per cent (30%) of .the cost of the whole project, as herein modified, West of, the nest bank of the Neches River-; and said.payments shall be applied to payment for those items for which the city may lawfully, pay, it having been determined that'said thirty per cent (30%) does not eXceed the total cost of said items f.or which said city may lawfully pay. "(4) In the event that the cost of items (a) and (b).shall, upon completion -of the 'work,'.amount;to a less. sum than the estimates hereinbefore set out in subdivisions (a) and (b) of this.,, -Section of.: this,'agreement, to -wit.: One Idillion, One Hundred Twenty -Seven Thousand Three Hundred Dollars (1;127,300.00), the saving thus made shall be shared by the parties hereto in the ratio of seventy per cent (70%) to the Railroad Company and thirty per cent (30%)'to The City of Beaumont and the amount of the City's portion of such saving shall be credited to and there- by and to that extent shall reduce that 'part -of the City's portion of the cost 'of said undertaking set forth in subdivisions (a) , (b) , (c), (d)' and _(e) of this.Section of -this agreement,-that.is, nine- teen and three hundred seventy-two thousandths.per cent (19.372%) of One Idillion, One'Hundred Seventy -Two Thousand, Three Hundred Dollars (VO1,172,300.00). "It is further understood and agreed that bids for that portion of the work vrhich-the city herein obligates itself to pay for shall be advertised for and'let on competitive bids as required. by.the City.Charter, said bids subject to acceptance only on the joint assent of the parties. ''FOURTH: The railroad also promises and agrees and binds and obligates itself to abandon the present type'of bridge spanning the Neches River within the harbor limits of The,City of Beaumont where its.railroad crosses said River, to -wit: the type of.bridge known 4. ;., as the draw -bridge, and the center pier supporting the same, and to replace the said type of bridge with the Bascule type of bridge, the railroad hereby binding and obligating itself to effectuate and complete the abandonment or the old type of bridge and the replacement`thereof by the said Bascule type, and complete the installation of said Bascule bridge ready for use and operation, within and not later than five (5j years from the 26th day of January, 1924, said bridge to be built so as to leave n.ot less. than 150 feet of absolutely free, open and unobstructed channel- in said River 'at sa.id. point - said bridge; of course, not to be contrary to requirements of'the Isar Depart- ment; and.it is further expressly understood and agreed that the acceptance of this arrangement., and agreement by the city with reference to said bridge shall be vrithout prejudice or reference to the claim or claims of any person, corporation or association of persons whomsoever other --than the city that the present type of bridge is an obstruction to navigation,. and without prejudice or reference to his or their effort to compel the removal of said bridge and the center pier in said River supporting said bridge at.any time. "FIFTH: The city, in. consideration. of the obligation herein entered into, by the railroad to abandon the present type of bridge across said.stream and to replace the same with the Bascule type of bridge within and not later than the time limit herein specified, promises and agrees to'and shall forthwith dismiss all suits.and actions, at law or in equity, now pending in any court by which it seeks to prevent the replacement of the present bridge structure with the new structure on hand, and will no longer in any way interfere with such replacement and the use of the present type of bridge structure pending the abandonment of'said present type of bridge structure and the replacement thereof by the Bascule type of bridge as .hereinabove provided, "SIXTH: -The additional cost of operation of_trains by detouring or otherwise during and by reason of construction here- under shall not.be calculated or considered as a part of the.cost of this undertaking, and the city in no event shall bear -any part of such cost. "SEVENTH: In the performance of the work provided for in this agreement, the railroad company and the contractor, or,con- tractors, shall at all times so conduct their operations with due regard for the necessities of the public, at all times keeping at least one street crossing open to traffic, and the city, on its part, shall grant whatever, if any, franchises or permits may be requisite to enabl e.trains of the railroad company to be -detoured during construction,'it-being intended that all parties shall co- operate in carrying on the work.as expeditiously and economically as may be.practicable. 'TIN WITNESS WHEREOF the parties hereto, by and through their duly authorized officers, have caused their respective signatures and corporate seals to be affixed hereto in duplicate originals this the 6th day - of March, A. That for the purpose of paying the interest on the obliga- tion made and created by and under the aforesaid contract between The City of Beaumont and the Texas & New Orleans Railroad Company, and creating a sinking fund for the payment of the principal of said obligation as same shall mature, there is hereby -levied for the year 1924 an advalorem tax of 3-1/2, cents on each 100.00 valuation of property in The.City of Beaumont liable to taxation, and said tax. -or -as much thereof as may be necessary, and if in- sufficient -enough for the.purpose, shall, and'it is hereby so covenanted by The City of Beaumont, be'levied for each succeeding. year for as 'long as is necessary to_provide for the payment of the interest on and..a sinking fund for the payment and'retirement of the obligation created.by the aforesaid contract. Section 3. That the fact that the operation of trains and locomotives on the lines of the said railroad over and across Orleans, Crockett, Pearl-, Main, Travis , and. Cypress Streets in The City of Beaumont * is a.constant and.continuous danger and menace to life, limb and property, and becoming increasingly so as time goes on, and the fact .that the.above and foregoing contract fixes a time limit, which began,on.danuary 26th, 1924, in which to perform and complete the work provided for in said contract, creates an imperative public emergency necessitating the susp'ension,of the rule requiring the reading of an ordinance on three several days before passage, wherefore said rule is hereby suspended and this ordinance shall take effect and be in force. on ,and after. its passage and signature of the Mayor.
