BE IT RESOLVED BY THE CITY COUNCIL
OF THE CITY OF BEAUMONT:
THAT the City Manager is hereby authorized to execute all documents necessary to
continue a License Agreement between the City of Beaumont and Parkdale Mall CMBS,
LLC, by CBL&Associates Management, Inc.,forthe Police Substation located at Parkdale
Mall. The agreement is substantially in the form attached hereto as Exhibit "A" and made
a part hereof for all purposes.

13. 1_iability of Licensor. Licensor shall not be responsible or liable for, and Licensee hereby
expressly waives,Al claims against Licensor for Injury to pci:sons m damage.to Licenser's property on the
l..iccnsc ftrea,regardless of the cause. Licensee's property in the License Area or the Shupping Ccatcr
shA be tit.n: at Licensee's sole risk. Licensor,its agents, amt employees shall not be liable for, and
Licensee waives,all claims for loss or damage to Licensee's business or damage to person or pol-o

other matcr,;d;(x)any aura urnis.ion,or negligence of other licensees or ally other persons or occupants of
the Shopping Center or of adjoining or contiguous buildings,of owners of adjacent or contiguous property,
or the public,or by operations in the construction of any private,public,or quasi-public work,or(xi)any
Other cause of any nature. To the maximum extent peranilred by law,Licensee agrees to use and occupy
the Liccnsc area,and to use such Other pOrfinits Of the Shopping Center is Licensee is herein given Ilse

14 Specific Grounds for Revocation: If, (a) Licensee fails Io perform any of the terms,
conditions,or covenants of this License,or(b)in the event there shall he filed by,of against,Licensee in
;rimy court pursuant to any statute,either of the United Si:ales ern any State,a Peiilion (i)in bankruptcy,(ii)
alleging islsolvency, (iii) reorganization, (iv) appointment Of a receiver, (v) any arrangement of the
hinkntprcy acts, or a similar type of proceeding; I (c) Licensee fails to pay, when civic, any paymcnr
required he eundcr;or(d)Licensee abandons or vacates the License Awii;or(e)in(lie event of any other
defaull by Licensee;then in any such event Licensee's rights hereunder shall cease and,Licensor niay at
its option(1)have the light to immediately revoke and terminate Ibis Liccnsc,and upon demand Licensee
agrees to irnwcdialcly surrender possession of the License.-lien to the Licensor; (2) make demand for
immediate payment of all current suui future real and any othcr monetary obligations due hcrcundcr;(3)It-
enter the Liccnsc area and rcmovc:dl persons and/or any property ticiefrom,by ally suitable,action or
proceeding it laty. All rights and remedies of Licensor herein or of law and in equity etc cunnilafivc. If
iicensor,at its sole disuction,(Icteiminea it is necessary to engage attorneys to enforce Licensor's rights
hereunder,Licensee will reimburse Licensor for reasonable attorney's fees and cv[trl Costs. \Vith respect
to any litigation;wising out of thi,License Agreement,Licensee hereby expressly waives the right to a triad
by jury and ilia right to file noncompulsoty countersuit or crossclaini against Licensor.
1.5. Obligations ITpa Revoc:ti ion: l.?pon service of the notice required by above 1'xragraph 10,
Licensee shall: (a) rcmovc all of Licensee's property,including,but not limited to inventory and trade
fixtures fronm Licetlsor's premises within talc time period set forth in ncc notice; (l)) upon demand of
Licensor, pay oil curry it and frtmrc charges due under dais Agrecrcnt; (c) reimburse Licensor for all
reasonable worney fees and court costs incurred as the result of Licensor enforcing its rights under this
Agreetncml. Liccnsor's rights and rcnicdics under this Agreement arc cunitdative and Licensor's failure to
assert acv o.aiin allowed under this.lgicerienl m any little shall not be constnucd as a waiver of the sank.

is damaged by fire or other Petit, regardless of the cutsc. Licensee shall have no recourse against
Licensor u a result of damage due to fire or tiny odic,peril.
17. Liability! There shall be no personal liabilily of Licensor with respect to this Liccnse. If
i breach by Licensor occurs,Licensee sh:dl look solely to the equity of Licensor in the Shopping Cmim
for the s is faction of Licensee's remedies.
18 ProvisiQns� Licensor is urn may be a prosy to ccua:n documents,as::mended from time to
lime, with a mortgagee or beneficiary of Licensor, department stores, mall tenants, and others. 'hhis
License is sahjeci and subordinale tc all the provisions in chose documents,as amended from rime to tinmc.
19. Tenso(Agircement, This License contains all die covenants, promises, agreeamenis,
crniditioris, and understandings between Licensor and Licensee. There arc no other, either oral or
written,between them outer 1111111 those set forth in lilis Liccnsc.

also reimburse Licensor for anv court costs and reasonable atfornq fees incurred as the resell of
Licensce's failure to yacale the Liccnsc Arca upon the Expiration Dlmu as sct forth in Paragraph 2 hcrcof.
21. Liabiliiv of Liceor: The term "Licensor” reams only the owner nr mortgagee is

possession for the time being of Chc building; in which the License area is located or the owucr of a
leasehold interest in said building and/or the land thereunder so that in the evert of sale of said building
and/or an assignnicar of this Liccnsc by Licensor, and/or a demise of said building and/or the land,
Licensor shall be and hereby is cnlircly Freed and relieved of all obligations of Licensor hereunder and it
shall he deemed vvitliout further agreement hcnvecn the parties and such purehaser(s), assignee(s), or
Icssce(s) that the puiehnser, assignee, or lessee has assumed and agreed to observe and perform all
obligafions of Licensor hcrcundcr.

In addition hereto, it is specifically understood and agreed that Licensee's rights, privileges,
eluues, Ind obligations nr:q, be administered by Licensor's designee, including, but not limited to,
Licensor's agent,-and iLa such designee shall have Ihe full authority of Liccnsorlrercumdar In perform;ill
of Licerrsor's functions hereunder inclu(ing,but not limited to, the execution of this License and any
other related docuoacnlation.
22. Non-Waiver Provision: •llre failure of Licensor to iostst upon performance of In)'
of the intro_;,condit,iorrs,and covcn;mrs hereof shall not be dccmcd to he a waiver of arty nghts or re edic4
that Licensor may have and shall not be dccotcd a waiver of any subsequent breach or default in the tennr,
coalitions,and covenants herein conlained.

written agreement signed by Licensee and Licensor,nr any successor,designee,or assignee of Licensor,

shall not atnincim:construction of the License area without first obtaining Licensor's approval of tl:c

a. The kiosk/pushcart sttucl'ure shall he limited to counter units with no overhead
obstructions drat inhibit the visibility of tvimats, licensees or other occupants in the
Shopping Ccutcr. Counter units shall not exceed 46"in height.

the floor or other part of the Shopping Ccutcr structure. an area width of no less than

Licensee's.

k. Licensee and Licensee's employees shall maintain a neat and appropriare

p. Licensee shall be solely responsible far policing its location against draft,loss,
or damage to its kiosk/pushcart and/or mcrclrandisc. Under no Circumstance shall
Licensor be held Gable for such theft,loss,or damage.
