BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF BEAUMONT:
THAT the City Manager be and he is hereby authorized to execute an Industrial District
agreement with Martin Operating Partners. The agreement is substantially in the form
attached hereto as Exhibit "A" and made a part hereof for all purposes.
PASSED BY THE CITY COUNCIL of the City of Beaumont this the 13th day of July,

AGREEMENT
WHEREAS, the City of Beaumont (herein "City") and Neches Industrial Park , Inc.
(herein "Neches") entered into an agreement in lieu of taxes on November 20, 2001; and,
WHEREAS, Martin Operating Partners(herein"Martin")has purchased the property
owned by Neches which is subject to the Industrial District Agreement with the City of
Beaumont; and,
WHEREAS, Martin has agreed to assume all the obligations of Neches under the
above-referenced agreement.
NOW THEREFORE, the parties agree as follows:
1. Martin hereby assumes the obligations of Neches in the agreement in lieu of
taxes executed by Neches and City on November 20, 2001, a copy of which is
attached hereto as Exhibit "A" and made a part hereof for all purposes.
2. City agrees to be bound to Martin by all obligations of City in said agreement.
3. Notifications under the new agreement will be as follows:
