HomeMy WebLinkAboutRES 85-316 R E S O L U T I O N BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF BEAUMONT: THAT the City Manager be, and he is hereby, authorized to execute a contract with the First Stop Business Center in the amount of $18,875, a copy of which is attached hereto as Exhibit "A" . Mayor - FILE Copy STATE OF TEXAS COUNTY OF JEFFERSON This agreement, executed in duplicate, is made and entered into by and between the City of Beaumont, Texas, a municipal corporation of the State of Texas, hereinafter called "City, " acting herein by and through its duly authorized city manager, and the Beaumont Chamber of Commerce, a non-profit corporation, hereinafter called "Chamber, " acting herein by and through its president. WHEREAS, the City believes that economic development is crucial to the continued economic success of City and believes that Chamber should be retained to carry out a program of work on behalf of City for the economic development of City; NOW, THEREFORE, in consideration of the mutual promises made herein, the City and the Chamber ag.ee as follows: 1 . City does hereby employ, engage and hire Chamber to engage in a comprehensive range of activities and projects to create jobs in Beaumont directed at economic development. Among other such projects, Chamber is employed, engaged and hired to operate a "First Stop Business Center. " The Chamber does hereby agree to accept such hiring, encagear-ent and employnnent and to discharge such duties in accordance with the terms and conditions herein set forth. 2 . Chamber is hired as an independent contractor and is not an agent of the City. 3 . Chamber agrees to engage in a comprehensive range of activities and projects to create jobs in Beaumont. Chamber' s program will be directed towards four separate aspects of job growth: a. retaining existing jobs; b• creating new businesses; C. expanding existing business; and d. attracting new employers. To achieve these goals, the Chamber will maintain a capable paid staff with necessary expertise; recruit and organize volunteer workers from the cearimunity; continue to expand the capabilities of the Economic Development Council as the primary marketing and information resource for prospects; maintain contacts and relationships with primary economic development allies of both public and private offices; gather and publish necessary information and statistics for prospects; maintain and build relationships with management of existing businesses; and promote any other specific activities or projects which will contribute to an environment conducive to job grcxwth. 4 . City hereby agrees to pay to Chamber during the term of this agreement Fifty Thousand Dollars ($50,000,00) for the economic development function described in Paragraph 3 herein. City hereby agrees to pay to Chamber during the term of this agreement Eighteen Thousand Eight Hundred Seventy-Five Dkollars ($18,875.00) for the First Stop Business Center as described in Paragraph 5 herein. Payment will be made quarterly as requested by Chamber. Chamber agrees to expend in excess of tine-Hundred Thousand Dollars ($100,000.00) in other Chamber funds for the purposes outlined in Paragraphs 3 and S hereof. 5 . Chamber agrees to operate a First Stop Business Center designed to offer prospective new businesses and industry and local firms considering expansion, a central location to obtain complete information on such matters as City permitting and licensing procedures. Chamber will maintain a capable paid staff to operate the First Stop Business Center. In operating the Center, Chamber will function as a central information and referral service and maintain a network of business, government, financial and community resources for the small businesses. The First Stop Business Center will maintain information including, but not limited to, points to consider in planning a business; registering a business; planning and zoning compliance; building permits and codes; licenses; taxes; insurance; transportation; utilities; financing; marketing and advertising; labor and safety laws; management assistance; and referrals to active and retired business professionals who are members of the Golden Triangle Chapter of the Service Corp of Retired Executives (SCORE) . 6 . Chamber hereby agrees to make semi-annual reports to City on an of requested" basis, said reports to detail the activities and successes in the economic development functional area and the activities and successes of the First Stop Business Center . 7 . in conjunction with its annual audit, Chamber agrees to audit on a review basis the functional areas outlined in t?-ris agreement. Chamber agrees to provide City a copy of the report done by Chamber' s certified public accountants on an annual basis. B. The term of this agreement shall be from Octobex 1 , gg5, until September 30, 1986. 9. Chamber agrees to indemnify, save harmless, and defend the City of Beaumont from any and all claims, causes of action and damages of every kind arising from the operations of the Chamber, its officers, agents and employees, including the officers, agents and employees involved in economic development and the First Stop Business Center and specifically including herein any and all acts of negligence by the City of Beaumont, its agents, officers or employees, carried out under the terms of this agreement. Chamber shall carry, or cause to be carried, general public liability and automobile liability insurance on all operations embraced by this agreement in the amount of Five-Hundred Thousand Dollars ($500,000.00) for each occurrence, and property daariage liability insurance in the amount of Twenty-Five Thousand Dollars ($25,000.00) for each occurrence. Said liability policies shall include contractual liability coverage in the same amounts as stated herein. Said insurance policies shall name the City of Beaumont as an additional insured. Said policies or duplicate originals thereof shall be filed with the City Clerk, or his designated representative, before any operations contemplated by this agreement are begun.
