BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF BEAUMONT:
THAT the City Manager be, and he is hereby, authorized to execute an amendment to the
engineering contract with Schaumburg & Polk, substantially in the form attached hereto
as Exhibit "A."
BE IT FURTHER RESOLVED, that the City Manager be, and he is hereby, authorized to
execute a contract with Dikita Enterprises, Inc., DBA Dikita Engineering for the northern
section of Concord Road, substantially in the form attached hereto as Exhibit "B."

This amendment modifies the Agreement made between the City of Beaumont,hereinafter termed
City,and Schaumburg&Polk,Inc., hereinafter termed Engineer, dated May 13, 1997 for
Engineering and Related Services, Concord Road paving and Drainage Improvements.
Section 1 Subsection II Basic Services is amended to the following:
The Engineer shall perform the following basic services under this Contract in three(3)
phases,namely, 1)Preliminary Engineer, 2)detailed construction plans,specifications and
estimates for Concord Road IH-10 St Helena, and 3)detailed construction plans,
specifications,and estimates for Concord Road from St Helena to just north of the railroad
crossing,including all offsite drainage improvements and city utility relocation required to
accomplish the project.
Section 1 Subsection II Basic Services B. Final Design Numbers 6&7 are amended to the
following:
6. Utilize a five year design frequency for design of the project drainage improvements.
7. A report on offsite drainage will be prepared advising the city of the improvements required
to upgrade the drainage system downstream of this project and outside the limits of the right of
way for this project to a five year frequency design basis. This report will describe the
deficiencies in the current system,if any and project the effect these deficiencies might have on the
area in a ten year event. All outfalls will be designed based on five year frequency.
Section 1 Subsection V Fee Schedule C. Final Engineering Services is amended to the
following:
The basis of compensation for Final Engineering Services shall be a basic fee plus direct
charges. The basic fee for all services other that noted in the direct charges schedule
(Attachment B)shall be direct salaries times a factor of 2.5. The direct charges shall be based
on the rates noted in Attachment B. The basic fee plus the direct charges shall not exceed
$768,940.

The Project
The project consists of widening approximately 2.0 miles of Concord Road from IH-10 to just
north of the Santa Fe Railroad Crossing. This project may be divided into two phases of
construction. It is anticipated that phase I of the project will include the improvements from IH-10
to St. Helena Street. Phase two will extend from St Helena to north of the railroad crossing. The
project requires preparation of a schematic for approval followed by preparation of separate sets
of plans for each phase of construction. The project will be designed using English units of
measurement. The design of phase two includes design of the offsite drainage improvements
necessary for the project. Both phases of design include design of city utility relocations required.

The existing roadway is primarily an 18 to 20 foot wide concrete pavement with open ditch
drainage. The primary proposed pavement section shall be a 49 foot wide b-b concrete curb and
gutter section. Schaumburg &Polk, Inc. will work with the City of Beaumont to determine the
pavement design for this project.The City will provide the geotechnical investigation that will act
as the basis for design of this project. The City will also provide to the engineer all relevant data
known to the city that could be of use on this project.
In addition to preparing a schematic and PS &E for the two phases of this project, Schaumburg
&Polk will design the replacement and/or relocation of city owned utilities in the project area.
SPI will also prepare parcel drawings for R.O.W. acquisition, and will conduct a public
information or public participation program as indicated by the issues affecting the project
neighborhoods. The limits for the parcel drawings Schaumburg &Polk are responsible for extend
from IH-10 to East Lucas. Schaumburg&Polk will also perform the surveys for design from
IH-10 to East Lucas one time. Schaumburg &Polk shall provide the surveys for design between
the railroad and East Lucas to the to the Engineer designated by the City of Beaumont for
accomplishing that design.
The costs in Section V anticipate approximately 100 right of way parcels to be acquired as a part
of this project. If offsite improvements cause this number to increase significantly then
Schaumburg & Polk, Inc. shall request an increase in compensation to cover the cost of the
additional work.
There is no allowance for performance of Phase I or Phase II Environmental Site Assessments.
These assessments should only be needed if the city acquires commercial property or property that
is otherwise suspect. The need for any work of this kind will be established in the Preliminary

CONCORD ROAD NORTH PAVEMENT RECONSTRUCTION PROJECT

SECTION 1
This Agreement made and entered into in Beaumont, Jefferson County Texas
between the City of Beaumont, a Municipal Corporation in the State of Texas, hereinafter
termed "City", and Dikita Enterprises, Inc. DBA Dikita Engineering duly licensed, and
practicing under the laws of the State of Texas, hereinafter termed "Engineer", said
Agreement being executed by the City pursuant to the City Charter and Ordinances and
Resolutions of the City Council, and by said Engineer for Engineering Services
hereinafter set forth in connection with the above designated Project for the City of
Beaumont.
I. General
A. Detailed Project Description
See Attachment"A"
B. The Engineer shall not commence work on this proposed Project until he has been
notified in writing to proceed.
The Engineer in consideration for the compensation herein provided, shall render
all professional services necessary for the development of the Project to
completion of detailed construction plans; specifications, and estimate, as
provided in this Agreement.
II_ Basic Services
The Engineering shall perform the following basic services under this Contract in two (2)
phases, namely, the detailed construction plans, specifications and estimate (Design
Phase)and assistance in bidding(Bidding Phase).

2. Detennine the location of all existing utilities facilities affecting the Project
and notify the proper utility companies.
3. Perform any necessary field survey and, where necessary, site topography
required to collect information needed for preparing the Offsite Storm Sewer
Outfall portion of the Project only (see Attachment A). Benchmarks and
control points established by Schaurnburg and Polk will be provided by the
City and used as vertical and horizontal control for the entire project.
4. Develop detailed plans and specifications including Engineers opinion of cost
estimates for the construction of said Project. Prepare detailed plans and
supporting documents for the proposed Project. Furnish an Engineers opinion
of cost estimate based on the plans and supporting documents for the proposed
construction.
5. Attend not more than two ('_) citizen meetings or other such meetings with
City officials as may be requested.
6. Furnish the City with three (3) copies of final plans and suppomng
documents, one (1) set of reproducible plans and the electronic files for all
plans and documents.
7. Meet with utilities to discuss any proposed adjustments.
S. Furnish any additional information as may be listed in the Project description
(Attachment A.)
B. Bidding Phase:
The Engineer shall:
1. Attend one pre-bid conference to assist the City with questions relating to the
construction documents.
2_ If requested by the City,attend one formal bid opening. — - - - — ----
3_ Tabulate valid bids into a Lotus spreadsheet indicating bid items, bid
quantities, item bid prices and total bid price.

4. Mahe recomum.eniations to the City regarding the first and second low
bidders' qualifications.
III. Additional Services
All work that will be performed by the Engineer at the request of the City that is
described in this paragraph, and not included in the paragraphs above, shall constitute
Additional Senices. Additi'DIIAI Services shall include, but are not limited to the
following:
A. Services required by the City in any litigation or other controversy as an expert
witness, including actual testimony time. stand-by waiting time, preparation of
engineering data and reports or depositions and consulting with the City or its
attorney. -
S. Preparation of zany special reports, applications for peimits or grants, and
appearances before any regulatory ageancies or public hearings not included in
Section II.A.5.
C. Any recisions of previously approved work.
D. Any travel and subsistence to points other than Engineer's or City's Offices and
Project site
E. Preparation of exhibits
F. Soil and foundation investigations including field and laboratory tests, borings,
related engineering analysis, and recommendations
G. Additional services due to significant changes in scope of the Project or its design
including but not limited to chances in size, complexity„ or character of
construction as alreed to by both parties
H. Providing services after issuance of Letter of Acceptance from the City
I. Any survey services outside of the area surveyed as part of the Offsite Storm
Sewer portion of the project.
IV. Coordination
A. The Engineer shall hold monthly conferences with the Director of Public Works
or his representatives to the end that the Project as developed shall have the full
benefit of the City's Experience and knowledge of existing needs and facilities,
and be consistent with its currelit policies and standards. To assist the Engineer in
this coordination, the CimY shall maize available for the Engineer's use in planning

and designing the Project all existing facilities and to this particular Project, at no
cost to the Engineer. However, any and all such information shall remain the
property of the City and shall be retuned if instructed to do so by the Director.
B. The Director will act on behalf of the City with respect to the work: to be
performed under this Agreement. He shall have complete authority to transmit
instructions, receive information, interpret and define the City's policies and
decisions with respect to materials, equipment, elements and systems pertinent to
Engineer's services.
C. The City will give prompt written notice to the Engineer whenever the City
observes or otherwise becomes aware of any defect in the Engineer's services or
any development that affects the scope or timing of Engineer's services.
D_ The City shall furnish approvals and permits from all governmental authorities
ha,,ing jurisdiction over the Project and such approvals and consents from others
as may be determined to be necessary by the City for the completion of the
Project. The Engineer will provide the City reasonable assistance in connection
with such approvals and penmits such as furnishing of data compiled by the
Engineer pursuant to other provisions of the contract,but shall not be obligated to
develop additional data, prepare extensive reports or appear at hearings or the like
unless compensated therefor under other provisions on this contract.
E. The Engineer shall promptly report, in writing, to the City of any development
that would affect the scope or timing of the Project.
V_ Fee Schedule
A. General
For and in consideration of the services to be rendered by the Engineer in this
Agreement, the City shall pay and the Engineer shall receive the compensation
hereinafter set forth for the Engineer's services described in Sections II, III, and
IV.
B. Basic Engineering Services
The basis of compensation for Basic Engineering Services shall be a lump sum
fee that includes other- direct charges. The basic lump sum fee including direct
charges shall be S 244,228.00.

C_ Additional Services
Compensation for.Awdditional ;Services that are authorized by the Director shall be
determined based on the Direct Fee Schedule (Attachment B), and the Direct
Salary Schedule (Attach,nIent D)plus a 3.0 multiplier.
VL City Payments
A. Payments shall be made to the Engineer based on the two phases as described
above and in accordance w,Vlk the follov r.ng:
1. Ninety-five pincc-iat (950%) of the amount due the Engineer for work
perfonrled in each phase shall be payable on a monthly basis.

VII. Revisions to Drawings and Specifications
The Engineer shall snake„without additional expense to the City over and above the basic
fee, such revisions to the Design Phase its may be required,within the negotiated scope of
services, to meet the needy of i1e C'i'ty. After approval of the Design Phase by the City,
any revisions, additions,, or other modifications made at the City's request, which
involves cxtra services and expenses to, the Engineer, shall be-subject to additional
compensation to the Engine Atr far such extra services and expenses.
VIII. Ownership of Documents
All documents including the original drawings, estimates, specifications, field notes and
data, will remain the property of the Engineer as. instruments of services. However, it is

to make and retain copies of drakvings and all other documents including field notes and
data. Any re-use without specific written verification or adaptation by Engineer will be
at City's sole risk and without liability or legal exposure to Engineer.
Te i-mination
Either party to this Agrtement may te;aninate the Agreement by giving the other thirty
(3 0)days notice in writing and in accordance with the following procedure:
A. Upon delivery of'such nol6ce by either party to the party, and upon expiration of
the thirty day period, the Engineer shall discontinue all services in connection
with the perforcrumce of this Agreement and shall proceed to cancel promptly all
existing orders and contracts insofar as, such others or contracts are chargeable to
this Agreement As soon as practicable after receipt of notice of termination, the
Engineer shall submit a statement„ showing in detail the services performed under
this Agreement to the date of termination. The Owner shall then pay the Engineer
promptly that proportion. of the prescribed charges for the service actually
performed under this Agreement that is applicable and useable on this Project,
less such payments on account of the charges as have been previously made.
Copies of specifications prepared under this Agreement shall be delivered to the
City when and if this Agreement is terminated, but subject to the restrictions, as to
their use, as set,fcall-,�in Section VIII.
B. Failure by the Engineer to comply with the submittal of the statement, and
documents as required above shall constitute a waiver by the Engineer of any and
all rights or claims to collect any monies that the Engineer may rightfully be
entitled to for services performed under this Agreement
X. Engineer's Warranty
The Engineer warrants that he has not employed or retained any company or person other
than a bona fide employe: working; solely for the Engineer to solicit or secure this
Contract, and that he has not for the purpose of soliciting or securing=this Contract paid or
agreed to pay any compaln)'or person,other than a bona fide employee working solely for
the Engineer. any fee, commi ssiotl., percentage, brokerage fee, gift, or any other
consideration,contingent upon or resulting frorn the award or making of this Contract.
1G. Equal Employment Oplrortuuity
The Engineer agrees to follow ithe Minority Business Enterprise requirements and/or
develop an Affirmative Action Plan as set forth by the City.

XII. Assignment or Transfer of Interest
The Engineer shall not assign or transfer its interest in the Contract without the written
consent of the City-
'MI. IndeuuAiication/Liability
The Engineer shall save harmless the City from all claims and liability- due to activities of
himself,his agents, or employees,performed under this contract and which result front an
error, omission, or negligent act: of the Engineer or of any person employed by the
Engineer. The Engineer shall also save ham less the City from any and all expenses,
including attorney fees which might be incurred by the City in litigation or other wise
resisting said claim or liabilities which might be imposed on the City as result of such
activities by the Engineer, his agents, or employees. The Engineer shall, within one week,
after signing the contract and before any work shall start, furnish the City with
certificates of insurance naming the City as additional insured satisfactory to the City
indicating the e..xistence of Statutory Workmen's Compensation Insurance, and
comprehensive General Liability Insurance. Such insurance shall be at the Engineer's
expense. The limits shall be as follows;
Comprehensive General Liability and Auto Liability Insurance shall not be less than
$200,000.00 per incidenv'$500,000.00 per occurrence.
These certificates shall contain a provision that the City shall be notified thirty (30) days
before cancellation of the insurance. The :Engineer shall maintain such insurance in force
during the life of the contract and no modification or change of insurance carriage and
provision shall be made vdt:hout thirty(30) days written advance notice to the City.
X111. Estimates of Cost
Since the Engineer has no control over the cost of labor, materials or equipment or over
the contractor's methods of determining prices, or over competitive bidding or market
conditions, his opinions of probable Project Cost or Construction Cost provided for
herein are to be made on the basis of this experience and qualifications aflrd represent his
be.--,I judgment as a design professional familiar with the construction industry but the
Engineer cannot and does not guarantee that proposals, bids or the construction cost will
not vaiy fi-om opinions or probable cost prepared by him.
W. Interest in City Contracts:Prohibited
No officer or employee of the City shall have a financial interest, direct or indirect, in any
contract with the City, or shall be financially interested, directly or indirectly, in the sale
to the City of any land, materials, supplies or service, except on behalf of the City as an
officer or employee.

XVI. Entire Agreement
This Agreement represents the entire and integrated Agreement between the City and
Enginetr and supersedes all prior negodation, representatives, or agreements, either oral
or wiitten. This Agreement may be arneirided only by %linen instrument signed by both
the City and Engineer.

ATTACIVAENT A
PROJECT DESCRIPTION& SCOPE
GENERAL.
The Concord Road North Reconstruction Project consists of providing design services for
construction plans and specifications for Concord Road North of the Santa Fe Railroad to East
Lucas Street(approximately 48001.f.). The pavement reconstruction will replace an existing 18
foot wide pavement section with a 49 foot wide concrete pavement section having integral curb
and gutter. All City owned utilities will be relocated, if possible, between the back of curb and
street R.O.W., and sized according to the City's specifications. Incorporated into the new
pavement design will be a storm sewer system to collect storm water ivaoff within and entering
the R.O.W. and transport it to a major outfall location.
It is understood that all necessary survey for the preparation of the Concord Road North
Reconstruction Project, including existing utilities, easements, R.O.W, and R.O.W. acquisition
maps has been previously completed and will be supplied by the City. In addition, a schematic
design has been completed by others and will be the basis for the horizontal alignment of the
new pavement section. As part of the basic services, Dikita will not be required to provide
survey services or a schematic design for any portion of the project within the Concord Road
R.O.W. Any additional survey that may be required, or modifications to the schematic design,
will either be furnished by the City, or considered an additional service and reimbursable as set
forth in Paragraph V. C.
Coincident with the Concord Road Reconstruction Plans, Dikita will prepare construction plans
and specifications for approximately 4000 Lf of an outfall storm sewer system. This system will
serve the drainage area generally bounded by Dogwood Street on the south, U.S. 69/96/287 on
the west, East Lucas Street on the north and the Santa Fe Railroad on the east. The system will
be adequately designed to relieve a portion of the Minglewood subdivision, and provide an
outfall for the Concord Road drainage system. In addition, the system will accommodate any
laterals that contribute flow to the project area. Prior to beginning preliminary design drawings,
a schematic design of the proposed outfA storm sewer system will be developed for approval by
the City. All survey associated with the outfall storm sewer will be provided by Dikita as set
forth in the Scope of Basic Services.
SCOPE OF BASIC SERVICES
Dikita proposes to complete the design services for the above project as follows:

Prior to developing schematic designs or preliminary plans, Dikita will collect and
evaluate all available data relative to the project. This task will include, but not be
limited to the following:

DELIVERABLES
• List of any utility conflicts that may require special consideration
TASK.2—SCHEMA TIC DESIGN
After reviewing the client's requirements to meet the City's needs, prepare a schematic
design study to illustrate the projoct's, scope sand its relationship to the site and rdm;ijacent
structures. The schematic diagram will include the following:
• Preliminary estimate of storm water runoff
• Horizontal routing for the off'site s-torm sewer -
• All adjacent street R-O..W., property lines„ existing topography, existing uoilities
(public and private), railroad KO.W and rails 40 feet.either side of the centefline of
the proposed storm sewer alignment
• Preliminary geometric data, such as lengths, horizontal curve radii, deflection angles,
etc.
ASSUMPTIONS
• The City's existing contour maps will be used to determine drainage areas and runoff
patterns
• The City's storm drainage standards will be used for determining runoff gt2antities
and pipe sizes
• The City will obtain 1permission for Dikita and/or its surveyors to eater Railroad and
private property
• Any necessary pennits required by any property owner for right of entry will be
acquired by the City

TASK 3—DESIGN DEVELOPMENT—DRAINA GE AND STREETS
Dikita will prepare from the approved schematic design studies the design development
documents consisting of drawings and specifications as required to establish size and
character of the project including the structural, materials and documents for the City's
approval_ Coordinate with utility companies so any relocation of existing utilities can be
scheduled. Prepare and submit monthly progress reports indicating work completed and
any issues that may impact the project. The construction drawings and related documents
will include,but not be limited to the following,.

along existing R.O.W. centerline. Profile will show existing ground at left
and right R.O.W., existing/proposed left and right top of curb elevations and
existing/proposed utilities
• Drainage area map based on City's existing contour snaps
• Drainage calculations for inlets and,piping based on the City's storm drainage
design criteria
• Plan and profile sheets on a scale of I"=20' horizontal, and 1."=4' vertical will
be prepared for all offsite storm drainage

Prepare from the approved design development documents the- complete working
drawings and specifications descnibinl; in detail the work to be done to construct the
project. Prepare necessary bidding information including special conditions and
construction quantities. Reevaluate and adjust the previous statennents of probable
construction cost as appropriate because of scope or project requirements. Finalize
construction plans and documents as per City review
ASSUMPTIONS
• City will provide in electronic format, standard construction contract
documents; eeneral conditions to the contract documents and previously
developed special conditions to the contract documents
• Dikita will submit final construction documents for City rc-v iew
• Dikita will meet with Citw staff to review plans and comments

Assist the City in securing bids for construction based upon construction documents.
Assist the City in evaluating bids and famish the uiformazion for preparing and awarding
construction contracts. Attend a pre-bid conference to answer prospective bidder's
questions regarding the construction documents and related issues_ If required, provide
an engineer at the public bid opening to assist the City. Subsequent to the bid opening,
