OLertsz, - Mayor - STATE OF TEXAS § COUNTY OF JEFFERSON § This agreement, executed in duplicate, is made and entered into by and between the City of Beaumont, Texas, a municipal corporation of the State of Texas, hereinafter called "City", acting herein by and through its duly authorized City Manager, and Friends of Spindletop, Inc., a Texas non-profit corporation, herein called "Spindletop," acting herein by and through its President. WHEREAS, the City believes that economic development is crucial to the continued economic success of City and believes that the Spindletop 2001 celebration to be partially funded through the efforts of Spindletop will create tourism and other catalysts which will act to provide increased economic development of City; and, WHEREAS, the City Council wishes to support the efforts to produce the Spindletop 2001 celebration, NOW, THEREFORE, in consideration of the mutual promises made herein, the City and Spindletop agree as follows: 1. City does hereby engage Spindletop to perform a comprehensive range of activities and projects to produce a series of events in celebration of the 100th anniversary of the discovery of oil at Spindletop. Spindletop does hereby agree to accept such engagement and to discharge such duties in accordance with the terms and conditions herein set forth. 2. Spindletop is an independent contractor and is not an agent of the City. 3. Spindletop agrees to engage in a comprehensive range of planning, fund raising and other efforts to cause to be held a series of celebratory events in Beaumont and other locations in honor of the 100th anniversary of the discovery of oil at Spindletop. To achieve its charge, Spindletop will maintain a capable staff with necessary expertise; recruit and organize volunteer workers; maintain contacts and relationships with primary allies of both public and private offices; gather and publish necessary information; and promote any other specific activities or projects which will contribute to the event. 4. City hereby agrees to pay to Spindletop during the term of this agreement Fifty Thousand Dollars ($50,000). Payments of Twelve-Thousand Five-Hundred ($12,500) Dollars will be made upon receipt of invoice dated in January of 2000, April 1, 2000, July 1, 2000 and October 1, 2000. Spindletop agrees to conduct other fund raising efforts and expend in excess of One-Hundred Thousand ($100,000) Dollars in its efforts under this contract. Spindletop also agrees to provide a minimum of Twenty-Five Thousand ($25,000) Dollars to the Beaumont Spindletop Committee for their use in supporting the celebration.
